The NBC Distribution Costs consist of the operational, facilities and technical costs, including upgrades, related to processing and distributing Network programs, promotions, advertisements, news feeds and other programming and services to the NBC affiliated television stations.
For clarity, each Party’s expenses in connection with the activities described in this Section 5.9 will be included as Sales and Marketing Costs or Distribution Costs, as appropriate.
Except as specifically provided in this Agreement, all out-of-pocket Distribution Costs and Expenses (including transfer taxes and the fees and expenses of all counsel, accountants and financial and other advisors) shall be paid by Pages, it being agreed such Distribution Costs and expenses are properly costs and expenses of Pages.
