Downgraded Bank definition

Downgraded Bank means any Bank which has a credit rating of less than A- (in the case of S&P) or A3 (in the case of Xxxxx’x) for its senior unsecured unsupported long-term debt or which does not have any credit rating on such debt from one of S&P or Xxxxx’x; provided, that if at any time such Bank has no such senior unsecured unsupported long-term debt rating from either rating service but does have a long-term issuer credit rating from either or both services, then such Bank shall not be considered a Downgraded Bank so long as such long-term issuer credit rating remains at or above A- (in the case of S&P) or A3 (in the case of Xxxxx’x).
Downgraded Bank means any Bank that (a) has a non-investment grade rating from Mooxx’x, X&P or another nationally recognized rating agency or (b) is a Subsidiary of a Person that is the subject of a bankruptcy, insolvency or similar proceeding.
Downgraded Bank means any Bank which has a credit rating of less than --------------- A- (in the case of S&P) or A3 (in the case of Moody's) for its senior unsecured unsupported long-term debt or which does not have any credit rating on such debt from one of S&P or Moody's.

Examples of Downgraded Bank in a sentence

  • At any time that the Issuing Bank is a Downgraded Bank or at such other times as the Issuing Bank and the Account Parties may agree, the Account Parties may, upon not less than three Business Days' notice to the Issuing Bank (in this Section sometimes referred to as the "Old Issuing Bank") and the Administrative Agent, designate any Bank (so long as such Bank has agreed to such designation) as an additional "Issuing Bank" hereunder (in this Section sometimes referred to as the "New Issuing Bank").

  • Downgrade Account shall be invested in such investments as may be agreed between the Issuing Bank and the applicable Downgraded Bank, and the income from such investments shall be distributed to such Downgraded Bank from time to time (but not less often than monthly) as agreed between the Issuing Bank and such Downgraded Bank.

  • Upon receipt of the proceeds of such Downgraded Bank Advance, the Liquidity Agent shall deposit such funds into a segregated trust account (each, a "Downgraded Bank Account"), in the name of the Tender Agent and referencing the name of such Liquidity Bank, maintained at an Eligible Depository Institution chosen by the Tender Agent.

  • The Tender Agent hereby grants to the Liquidity Agent full power and authority, on behalf of the Tender Agent, to deposit funds into each Downgraded Bank Account, all in accordance with the terms of and for the purposes set forth in this Agreement.

  • Such Pre-Funding Loan shall accrue interest at the rate or rates provided in Section 3.5, such Downgraded Bank shall continue to be entitled to the Facility Fee applicable to such Pre-Funding Loan; but any earnings accrued on Permitted Investments made with such Pre-Funded Bank Deposit shall be applied for the account of SPC to pay accrued interest to the Downgraded Bank on such Pre-Funding Loan.

  • If a replacement bank is added as a Bank pursuant to clause (i) above in place of a Downgraded Bank whose Bank Commitment has been reduced to zero pursuant to Section 4.02(d), the Bank Commitment of the replacement Bank shall, subject to the limitations contained in Section 4.03, be the amount set forth in the documents evidencing such assignment referred to in the preceding sentence.

  • Immediately thereafter, and Seller shall advise Hechter & Associates to release the Seller's Closing Documents to Buyer and Buyer shall advise Conner & Winxxxx, to xxxxxxx the Buyer's Closing Documents to Seller.

  • Required Deposit Rating A rating on short-term unsecured debt obligations of P-1 by Xxxxx’x Investors Service, Inc. and A-2 by S&P Global Ratings. Any requirement that short-term unsecured debt obligations have the “Required Deposit Rating” shall mean that such short-term unsecured debt obligations have the foregoing required ratings from each of such applicable rating agencies.

  • Required Rating means, in the case of Moody's, the rating assigned to the Underlying Securities by Moody's as of the Closing Date, and, in the case of S&P, the rating assigned to the Underlying Securities by S&P as of the Closing Date.

  • Adverse Rating Event With respect to any Class of Rated Certificates and any Rating Agency that has assigned a rating thereto, as of any date of determination, the qualification, downgrade or withdrawal of the rating then assigned to such Class of Rated Certificates by such Rating Agency (or the placement of such Class of Rated Certificates on “negative credit watch” status in contemplation of any such action with respect thereto).
