Drawstop Notice definition

Drawstop Notice. As defined in Section 2.4.2(a).

• Such funds shall be applied as specified in the Funding Agreements and in accordance with Section 2.04(d) (Disbursement of Proceeds) hereof; provided, that, if any Drawstop Notice has been issued and is in effect on the Requested Advance Date with respect to any funds received by the Borrower, such funds shall be returned by the Borrower to FFB pursuant to Section 2.04(b) (Drawstop Notices).

• For any requested Advance for which an Advance Request Approval Notice has been issued pursuant to this Section 2.04(a) and for which no Drawstop Notice has been issued pursuant to Section 2.04(b) (Drawstop Notices), FFB shall fund such Advance on the Requested Advance Date in accordance with the Note Purchase Agreement and the applicable Note.

• The Borrower hereby agrees promptly, but in no event later than five Business Days following delivery of such invoice, to pay such interest and other applicable make-whole amounts as directed by FFB, and the Borrower shall pay all costs and expenses incurred by DOE, FFB, the Collateral Agent or Depositary Bank as a result of such Drawstop Notice.

Drawstop Notice means, in connection with any requested Disbursement, a written notice by the Asset Management Division delivered no later than 9:00 a.m. New York time on the third Business Day prior to the relevant Requested Drawdown Date to the Borrower, the Facility Agent, the Lender and (solely with respect to any L/C Issuance or L/C Payment) the L/C Bank, with a copy to the Operations Division, in substantially the form of Annex G, to be issued if Ex-Im Bank has determined that: (i) solely in the case of the initial Disbursement under the Tranche A Guaranteed Credit, any condition set forth in Section 6.01 or 6.03 is not met, or having been met, is no longer met; (ii) solely in the case of the initial Disbursement under the Tranche B Guaranteed Credit, any condition set forth in Section 6.02 or 6.03 is not met, or having been met, is no longer met; or (iii) in the case of any Disbursement other than the initial Disbursement under each of the Tranche A Guaranteed Credit and the Tranche B Guaranteed Credit, any condition set forth in Section 6.03 is not met, or having been met, is no longer met.

Drawstop Notice shall have the meaning ascribed thereto in Section 3.02(h).
