EA Fee definition

EA Fee means the fee set forth in the EA Fee Schedule contained in the Proposal Letter.
EA Fee means the fee set forth in Appendix B—EA Fee Schedule.
EA Fee means the fee set forth in Appendix B—EA Fee Schedule.  "EA Maintenance" means Tier 2 Support, updates, and patches provided by Esri for EA Products.

Examples of EA Fee in a sentence

  • Except as provided herein, Customer shall not publish or disclose the EA Fee or list of EA Products to any third party without Esri's prior written consent.

  • Upon full payment of the EA Fee and expiration of this EA, the Master Agreement will survive, and Xxxxxxxx and Authorized Entities may continue to use the perpetual licenses of Deployed EA Products included in the final Deployment Report and Rolled-In Software in accordance with the terms and conditions set forth in the Master Agreement.

  • There will be no reduction in the EA Fee if an Authorized Entity’s rights are terminated.

  • If Customer or an Authorized Entity acquires another entity and Customer would like to Deploy EA Products to that entity, Esri and Customer must first sign an amendment to this EA adding the new entity as an Authorized Entity and agree to an increase in the EA Fee.

  • There will be no decrease in the EA Fee as a result of any Ownership Change.

  • The EA Fee and list of EA Products are confidential and proprietary information of Esri.

  • Customer may disclose portions or all of this EA to an Authorized Entity provided such is under an obligation of confidentiality to not publish or disclose the EA Fee or list of EA Products to any third party.

  • Upon full payment of EA Fee and expiration of this EA, the License Agreement will survive, and Licensee may continue to use the Deployed EA Products and Rolled-In Software in accordance with the terms and conditions set forth in the License Agreement.

  • Upon termination of this EA by Esri for a material breach by Customer, all licenses Deployed will also terminate, and the full amount of unpaid EA Fee will be due and payable by Customer within thirty (30) days from the date of termination.

  • Subject to the terms and conditions of this EA, Esri grants to Customer a personal, nonexclusive, nontransferable license solely to use, copy, and Deploy quantities of the EA Products listed in the Proposal Letter for the term of the EA (i) for the applicable EA Fee and (ii) in accordance with the Master Agreement.

Related to EA Fee

  • L/C Fee has the meaning specified in Section 2.03(i).

  • Hire Fee the hire fee specified in Item 13.

  • Target fee, as used in this contract, means the fee initially negotiated on the assumption that this contract would be performed for a cost equal to the estimated cost initially negotiated, adjusted in accordance with paragraph (d) of this clause.

  • Contract Fee means the price, fee, rent, or royalty payable in a contract under this chapter or

  • Hookup fee means a fee for the installation and inspection of any pipe, line,

  • Annual Fee has the meaning stated in Section 4.02(a).

  • Utilization Fee shall have the meaning assigned to such term in Section 2.06(b).

  • Base Fee means the amount of compensation mutually agreed upon for the completion of Basic Services.

  • Access Fee means a fee prescribed for the purposes of section 22(6) or 54(6), as the case may be;

  • Placement Fee has the meaning given thereto in Section 2(a) hereof;

  • Upfront Fee has the meaning specified in Section 2.07 hereof.

  • Impact fee means a payment of money imposed under Title 11, Chapter 36a, Impact Fees Act.

  • Permit Fee means a fee in an amount established by the SFMTA Board, required to be paid by a permit applicant for permit issuance or renewal, including any late payment penalties or interest for failure to pay in accordance with the requirements of this Article and any other regulations adopted by the SFMTA Board.

  • Initial Fee means any applicable one-off initial or installation fee, as may be stated in an Order;

  • Break Fee means an amount to compensate a Proponent for some of the costs the Proponent had incurred in developing and submitting a Proposal in the event that the RFP Process is cancelled, as determined by the Sponsors in accordance with RFP Section 10.3.3;

  • Arrangement Fee has the meaning specified in Section 2.05(a).

  • Tipping Fee means a fee or support price determined by the local authorities or any state agency authorised by the State government to be paid to the concessionaire or operator of waste processing facility or for disposal of residual solid waste at the landfill ;

  • Monthly Fee means the total consideration, including but not limited to, equipment or locker rental,

  • Closing Fee has the meaning set forth in Section 2.09(c).

  • Reservation Fee means the fee set forth in the applicable Program Guide, relating to the aggregate principal amount of the particular Mortgage Loans which the Participant has committed to originate and sell to the Servicer (which is not applicable to MCC stand-alone product) pursuant to a Reservation Request, payable contemporaneously with the submission of the corresponding application package, all in accordance with the procedures set forth in the applicable Program Guide.

  • Structuring Fee has the meaning set forth in the Fee Letter.

  • Commitment Fee has the meaning specified in Section 2.09(a).

  • Facility Fee has the meaning specified in Section 2.09(a).

  • Success Fee means the fee to be paid by PURCHASER to SELLER as specified in Exhibit D upon successful FDA Approval.

  • Development Fee means a fee for the packaging of a Property, including negotiating and approving plans, and undertaking to assist in obtaining zoning and necessary variances and necessary financing for the Property, either initially or at a later date.

  • Management Fee shall have the meaning set forth in Section 10(a).
