Early Repurchase Fee definition

Early Repurchase Fee means the fee equal to 5.00% of the value of Units repurchased that a Subsequent Member shall pay if it tenders such Units for repurchase during the Lock-Up Period with respect to such Subsequent Member.
Early Repurchase Fee shall have the meaning set forth in Section 4.4.
Early Repurchase Fee has the meaning set forth in the Company’s Governing Agreements.

Examples of Early Repurchase Fee in a sentence

  • Members who tender for repurchase less than 95% of their Units and which Units are repurchased by the Fund will receive the specified dollar amount equal to the net asset value of such Units repurchased by the Fund, less the applicable Early Repurchase Fee.

  • The value will be determined after all allocations to capital accounts of the Shareholders required to be made by the Registration Statement and Agreement and Declaration of Trust have been made, including any Early Repurchase Fee (defined below) due to the Fund in connection with the repurchase.

More Definitions of Early Repurchase Fee

Early Repurchase Fee means the early repurchase fee as provided for in the Share Repurchase Plan.

Related to Early Repurchase Fee

  • Early Repurchase Date shall have the meaning specified in Section 3(d) of this Agreement.

  • Repurchase Amount shall have the meaning set forth in Section 4.2 hereof.

  • Repurchase Price means, with respect to any Loan, first taking the Book Value of the Asset at Bank Closing and either subtracting the Asset discount or adding the Asset premium, and subsequently adjusting that total by (i) adding any advances and interest on such Loan after Bank Closing, (ii) subtracting the total amount received by the Assuming Institution for such Loan after Bank Closing, regardless of how applied, and (iii) adding total disbursements of principal made by Receiver not otherwise included in the Book Value.

  • Reverse Repurchase Agreement means an agreement pursuant to which the Fund sells Securities and agrees to repurchase such Securities at a described or specified date and price.

  • Fundamental Change Repurchase Price shall have the meaning specified in Section 15.02(a).

  • Optional Purchase Price has the meaning set forth in Section 8.1 of the Sale and Servicing Agreement.

  • Change of Control Redemption Price shall have the meaning set forth in Section 7.3;

  • Monthly Redemption Amount means, as to a Monthly Redemption, $______, plus accrued but unpaid interest, liquidated damages and any other amounts then owing to the Holder in respect of this Debenture.

  • Fundamental Change Purchase Price has the meaning specified in Section 3.01(a).

  • Early Redemption Event means that R (k) is equal to or greater than the Early Redemption Level (k) on the respective Observation Date (k).

  • Monthly Redemption Date means the 1st of each month, commencing immediately upon the nine month anniversary of the Original Issue Date and terminating upon the full redemption of this Debenture.

  • Optional Redemption Price shall have the meaning set forth in Section 3.2.
