EbixCash Offering means an offering to Persons other than the Borrower or any Subsidiary of the Borrower of the Equity Interests of EbixCash for cash.

  • Prepayment will be made on the Obligations in an amount equal to 50% of the Net Cash Proceeds of the EbixCash Offering on the Business Day following receipt thereof.
