Effective Purchase Price definition

Effective Purchase Price means, with respect to any Investor as of any given date, the sum of (x) such Investor’s original Purchase Price (as defined in the Securities Purchase Agreement) and (y) the sum of each aggregate exercise price of each exercise of the Series B Warrants of such Investor on or prior to such given date.
Effective Purchase Price means the effective price per Token depicted on the Investor’s Dashboard at the time of the execution of this Rolling SAFE on the Site, which price reflects the effective average price per Token as determined by the linear function used by the Tokens Smart Contract further described on the Site.
Effective Purchase Price means the effective average price per Rolling SAFE Token purchased hereunder at the time of confirmation of receipt of the Token Payment by the Company, which price reflects the average price per Rolling SAFE Token as determined by the linear function used by the Tokens smart contract further described on the Site.

  • The Company shall similarly issue to the other CAFE Investors a number of Tokens determined by dividing the purchase amounts under their respective CAFEs by the Effective Purchase Price.

  • If (i) the Fiat Transfer Confirmation Date is more than six (6) business days from the date that the Investor initiated the Fiat Transfer and (ii) the difference between the Effective Purchase Price in effect as of the Fiat Transfer Confirmation Date and the Original Effective Purchase Price exceeds 5%, the Company will follow the notice provisions set forth in Section 1(a)(iii)(B) above, and Investor shall be entitled to withdraw their funds from the Site and cancel this CAFE.

  • If the Investor indicates that they do not wish to purchase the Tokens at the Effective Purchase Price in effect as of the Fiat Transfer Confirmation Date, the Investor shall be eligible to withdraw their funds in accordance with the Company’s instructions provided to Investor, less applicable fees incurred by the Company in processing Investor’s Fiat Transfer.

  • Investor hereby acknowledges this risk and consents to the Company automatically processing Investor’s purchase of the Tokens at the Effective Purchase Price in effect as of the Fiat Transfer Confirmation Date so long as the Effective Purchase Price in effect as of such Fiat Transfer Confirmation Date is within 5% of the Original Effective Purchase Price.

Effective Purchase Price means for each Purchaser, the amount of Common Shares issued to such Purchaser pursuant to the Purchase Agreement multiplied by the Per Security Purchase Price.

Effective Purchase Price means the effective price per PALATE CAFE Token depicted on the Investor’s Dashboard at the time of the execution of this CAFE on the Site, which price reflects the effective average price per PALATE CAFE Token as determined by the linear function used by the Tokens smart contract further described on the Site.
Effective Purchase Price means, with respect to each Series of Designated Stock, the Purchase Price for such Series of Designated Stock, subject to adjustment as set forth in paragraph 6.3.7(d).
