Electronic Voting Instruction definition

Electronic Voting Instruction means an electronic voting instruction submitted by a Direct Participant through the relevant Clearing System to the Tabulation Agent, instructing the Principal Paying Agent to appoint an employee of the Tabulation Agent (nominated by it) as its proxy to attend the Meeting on its behalf and stating that the vote(s) attributable to the Notes that are the subject of such electronic voting instruction should be cast in a particular way in relation to the Extraordinary Resolution (either in favour of or against the Extraordinary Resolution).The following paragraphs 1 to 7 apply only to Noteholders who have not submitted or have submitted and subsequently revoked (in the limited circumstances in which such revocation is permitted) an Electronic Voting Instruction in respect of the Extraordinary Resolution.
Electronic Voting Instruction means the electronic voting and blocking instruction which may be submitted or delivered through the relevant Clearing System by each person who is shown in the records of such Clearing System as a holder of an interest in the Notes instructing therelevant Clearing System that the vote(s) attributable to the Notes the subject of such electronic voting instruction should be cast in respect of the Noteholder Extraordinary Resolution (either for or against the Noteholder Extraordinary Resolution(s)), which instruction shall form part of a block voting instruction to be issued by the Principal Paying Agent, appointing two or more representatives of the Principal Paying Agent as its proxy in relation to the Meeting.Subject to applicable law and subject as provided in this Notice of Meeting, Electronic Voting Instructions may only be revoked by Note holders prior to the Expiration Time by submitting (or procuring the submission of) an electronic withdrawal instruction to the relevant Clearing System. Beneficial Owners who are not also Direct Participants are advised to check with the bank, securities broker or any other intermediary through which they hold their Notes whether such intermediary would require receiving instructions to participate in, or withdraw their instruction to participate in, the Meeting prior to the deadlines set out in this Notice of Meeting.
Electronic Voting Instruction means a voting instruction regarding the 2013 Notes given through the electronic voting system available to the direct accountholders in Euroclear or Clearstream;

  • Noteholders who have submitted Electronic Voting Instructions (and thereby requested that their votes are included in the block voting instruction appointing two or more representatives of the Information and Tabulation Agent as its proxy to attend the Meeting (and any adjourned Meeting) and to vote in the manner specified or identified in such Electronic Voting Instruction) will be unaffected by these alternative regulations and will not be requested to take any further action.

  • Holders of the DTC Notes wishing to vote either for or against the relevant Extraordinary Resolution or to abstain from voting in respect of the DTC Notes must vote via a Form of Sub-Proxy and not through an Electronic Voting Instruction.

  • Only the Direct Participant is entitled to revoke an Electronic Voting Instruction previously given.

  • Only the Direct Participant is entitled to amend or revoke an Electronic Voting Instruction previously given.

More Definitions of Electronic Voting Instruction

Electronic Voting Instruction means an electronic voting instruction which must be submitted or delivered through the relevant Clearing System quoting the name of the Direct Participant and the securities account number at Euroclear or Clearstream (as applicable) by each person (an “Accountholder”) who is shown in the records of such Clearing System as a holder of an interest in the Class F Subordinated Notes instructing the relevant Clearing System that the vote(s) attributable to such Class F Subordinated Notes should be cast in a particular way (either in favour or against) in relation to the Extraordinary Resolution. Notwithstanding the time periods referenced in this Notice, please note that Euroclear and Clearstream may have deadlines for voting which are earlier than those specified in this Notice. Notes held should be in denominations of €100,000 and €1,000 thereafter.
Electronic Voting Instruction means an electronic voting instruction submitted by a Direct Participant by quoting their Participant Name and Account Number through the relevant Clearing System to the Principal Paying Agent, instructing the Principal Paying Agent to appoint an employee of the Principal Paying Agent or Tabulation Agent (nominated by it) as its proxy to attend the Meeting on its behalf and stating that the vote(s) attributable to the Notes that are the subject of such electronic voting instruction should be cast in a particular way in relation to the Extraordinary Resolution (either in favour of or against the Extraordinary Resolution).Instructions should be sent with a minimum denomination amount of EUR 100,000 and EUR 1,000 thereafter.The following paragraphs 1 to 6 apply only to Noteholders who have not submitted or delivered or arranged for the submission or delivery of Electronic Voting Instructions to the relevant Clearing System in accordance with the terms of the Notice.
