Eligible Representative definition

Eligible Representative for a Participant shall mean such Participant’s personal representative or such other person as is empowered under the deceased Participant’s will or the then applicable laws of descent and distribution to represent the Participant hereunder.

Eligible Representative for an Optionee shall mean such Optionee’s personal representative or such other person as is empowered under the deceased Optionee’s will or the then applicable laws of descent and distribution to represent the Optionee hereunder.

Eligible Representative means, upon the Optionee’s death, the Optionee’s personal representative or such other person as is empowered under the deceased Optionee’s will or the then applicable laws of descent and distribution to represent the Optionee hereunder.

Examples of Eligible Representative in a sentence

• After the death of the Optionee, any exercisable portion of an Option or SAR may, prior to the time when such portion becomes unexercisable under the Plan or the applicable Award Agreement, be exercised by his or her Eligible Representative.

• Limit on the maximum aggregate amount of all Eligible Payments to a single Eligible Supplier or a single Eligible Representative.

• Notify ISSS if you are unable to complete your program by the Program End Date specified on your Form DS-2019.

Eligible Representative means (in the case of a Full Member or Associate Member being a company) a director or employee of, or consultant to, that company or (in the case of a Full Member or Associate member being a firm) a partner in, employee of, or consultant to, that firm.

Eligible Representative shall have the meaning provided in Section 12.2(a).
