Energy East definition

Energy East means Energy East Corporation and any successor to its business and/or assets.
Energy East means Energy East Corporation and any successor to its business and/or assets which assumes and agrees to perform this Agreement by operation of law, or otherwise (except in determining, under Section 20(E) hereof, whether or not any Change-in-Control of Energy East has occurred in connection with such succession).
Energy East means Energy East Corporation, a New York corporation.

  • Compensation of the Executive by Base Salary payments shall not be deemed exclusive and shall not prevent the Executive from participating in any other compensation or benefit plan of Energy East or the Company.

  • The Executive shall devote substantially all his working time and efforts to the business and affairs of Energy East and the Company; provided, however, that the Executive may also serve on the boards of directors or trustees of other companies and organizations, as long as such service does not substantially interfere with the performance of his duties hereunder.

  • The Base Salary payments (including any increased Base Salary payments) hereunder shall not in any way limit or reduce any other obligation of Energy East or the Company hereunder, and no other compensation, benefit or payment hereunder shall in any way limit or reduce the obligation of the Company to pay the Executive's Base Salary hereunder.

  • Energy East and the Company hereby agree to employ the Executive, and the Executive hereby agrees to serve Energy East and the Company, on the terms and conditions set forth herein, during the term of this Agreement (the "Term").

  • Commencing on the first day of the month following the Effective Time and each succeeding month thereafter, the Term of this Agreement shall automatically be extended for one (1) additional month unless Energy East, the Company, or the Executive shall have given prior written notice not to extend this Agreement.

(k) "Good Reason" for termination by the Executive of the Executive's employment shall mean the occurrence (without the Executive's express written consent), of any one of the following acts by Energy East or the Company, or failures by Energy East or the Company to act, unless, in the case of any act or failure to act described in paragraphs (i) or (ii) below, such act or failure to act is corrected prior to the Date of Termination specified in the Notice of Termination given in respect thereof: (i) the assignment to the Executive of any duties inconsistent with the Executive's status as an executive officer of the Company or a substantial alteration in the nature or status of the Executive's responsibilities consistent with the titles set forth in Section 4; (ii) any material breach of any provision of this Agreement by Energy East or the Company; (iii) the relocation of the Company's principal executive offices to a location within the ▇▇-▇▇▇▇ ▇▇▇▇▇▇ ▇▇ ▇▇▇▇▇▇▇, ▇▇▇▇▇ or Energy East or the Company's requiring the Executive to be based anywhere other than the Company's principal executive offices except for required travel on the business of Energy East or the Company or CMP Group, Inc. to the extent such travel obligations are substantially consistent with the Executive's present business travel obligations; or (iv) any purported termination of the Executive's employment which is not effected pursuant to a Notice of Termination satisfying the requirements of Section 8.1; for purposes of this Agreement, no such purported termination shall be effective. The Executive's right to terminate the Executive's employment for Good Reason shall not be affected by the Executive's incapacity due to physical or mental illness. The Executive's continued employment shall not constitute consent to, or a waiver of rights with respect to, any act or failure to act constituting Good Reason hereunder. (l) "Gross-Up Payment" shall have the meaning stated in Section 7.4(a) hereof. (m) "Notice of Termination" shall have the meaning stated in Section 8.1 hereof.
