Equityholder Representative Expense Amount definition

Equityholder Representative Expense Amount has the meaning set forth in Section 2.06(d).

Equityholder Representative Expense Amount means $750,000, and any earnings on such amount, as such amount may be reduced from time to time by payments made therefrom in accordance with the terms hereof.

• The Equityholder Representative may use the Equityholder Representative Expense Amount to pay any fees, costs, expenses or other obligations incurred by the Equityholder Representative acting in its capacity as such.

• At the Closing, the Purchaser shall deliver or cause to be delivered to the Equityholder Representative the Equityholder Representative Expense Amount, which amount shall be used by the Equityholder Representative for the purposes of paying directly, or reimbursing the Equityholder Representative for, any third party expenses pursuant to this Agreement and the agreements ancillary hereto.
