ESOP Entities definition

ESOP Entities means the four shareholders in the JV set up for the purpose of Employee Stock Ownership Plan, namely, Ningbo Bonded Area Youjin Management Consulting (Limited Partnership) (宁波保税区优锦管理咨询合伙企业(有限合伙)), Ningbo Bonded Area Youshu Management Consulting (Limited Partnership) (宁波保税区优殊管理咨询合伙企业(有限合伙)), Ningbo Bonded Area Youyi Management Consulting (Limited Partnership) (宁波保税区优翼管理咨询合伙企业(有限合伙)) and Ningbo Bonded Area Youzhi Management Consulting (Limited Partnership) (宁波保税区优陟管理咨询合伙企业(有限合伙)).
ESOP Entities means the Company Management ESOP and the Seller
ESOP Entities means, collectively, Bodyguard Holding Limited, Jumi Holding Limited and One Mind Holding Limited.

  • Company Subsidiaries means the Subsidiaries of the Company.

  • Acquired Companies means, collectively, the Company and the Company Subsidiaries.

  • Transferred Entities means the entities set forth on Schedule 1.9.

  • Company Entities means the Company and its Subsidiaries.

  • Acquired Entities means the Company and the Acquired Subsidiaries.

  • Target Companies means the Target and its Subsidiaries.

  • Seller Entities means, collectively, Seller and all Seller Subsidiaries.

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • Partnership Entity means any of the Partnership Entities.

  • Group Companies means the Company and its Subsidiaries.

  • Related Entities means contractors and subcontractors of a Party at any tier; grantees, investigators, customers, and users of a Party at any tier and their contractors or subcontractor at any tier; or, employees of the Party or any of the foregoing.

  • Parent Entities means, collectively, Parent and all Parent Subsidiaries.

  • Acquired Company means any business, corporation or other entity acquired by the Company or any Subsidiary.

  • Spinco Subsidiaries means all direct and indirect Subsidiaries of Spinco immediately following the Contribution.

  • Buyer Entities means, collectively, Buyer and all Buyer Subsidiaries.

  • Parent Subsidiaries means the Subsidiaries of Parent.

  • Seller Affiliates has the meaning assigned to such term in Section 2.7.1;

  • Sponsor Entities means AP Talos Energy LLC, AP Talos Energy Debtco LLC, Apollo Management VII, L.P., AIF VII Management, LLC and its affiliates, Apollo Commodities Management, L.P. with respect to Series I, Apollo Commodities Management GP, LLC and its affiliates, Apollo Global Securities, LLC and its affiliates, Riverstone Talos Energy Equityco LLC, Riverstone Talos Energy Debtco LLC, REP Management Company V, LLC, Riverstone Equity Partners LP and Riverstone Holdings LLC and its affiliates.

  • Released Entities means released entities as such term is defined

  • PJM Entities means PJM, including the Market Monitoring Unit, the PJM Board, and PJM’s officers, employees, representatives, advisors, contractors, and consultants. PJM Interchange:

  • Participating Entities and “Participating Entity” are defined on the Coversheet.

  • Acquired Corporations means the Company and each of its Subsidiaries.

  • Company Subsidiary means any Subsidiary of the Company.

  • Operating Companies means, collectively, the Creekside Operating Company, the Mentone Operating Company and the Yucaipa Operating Company. “Operating Company” means any of the Operating Companies.
