Estimated Bonus definition

Estimated Bonus means an amount equal to the average of the value of the cash bonuses and Restricted Stock received by the Executive for the last two full fiscal years for which Executive has received such cash bonuses and Restricted Stock, if any, prior to the Executive’s Termination Date. The value of the Restricted Stock shall equal the product of (i) the fair market value of one share of the common stock of the Company on the date of the grant of the Restricted Stock multiplied by (ii) the number of shares of Restricted Stock granted.
Estimated Bonus means an amount equal to the average of the value of the cash bonuses received by Executive for the last two full fiscal years for which Executive has received such cash bonuses, if any, prior to Executive’s Termination Date.
Estimated Bonus means the approximate amount, as calculated by Defendant, that Defendant would have paid each Settlement Class Member as an FY2018 Bonus if Defendant had not adjusted the amounts of certain bonus payments downward and eliminated other bonus payments entirely.

Estimated Bonus means the amount which the Seller estimates as at the date of this Agreement will be payable by way of bonus pursuant to the Britannia Contract being Pound Sterling 985,566 by way of Drilling Facilities Profit and Pound Sterling 601,537 by way of Topsides Alliance Incentive. "Excluded Assets" means (i) all of the residential property owned by the Company or its Subsidiaries, and (ii) all of the right, title and interest of the Company and its Subsidiaries to the assets owned or leased by the branch of NDESL operating in the United States, (iii) those tenders and bids and (iv) the 99,900 shares of Pound Sterling 1 each in Paloak Limited all as identified in Schedule 5 together with all liabilities of the Company and its Subsidiaries associated with items (i) to (v).
Estimated Bonus means, with respect to a Participant, the greatest of (i) the Participant’s target bonus in effect for the fiscal year in which the Change in Control occurs (calculated using the Participant’s Base Salary), (ii) the Participant’s target bonus in effect for the fiscal year in which the Participant’s Termination of Employment occurs (calculated using the Participant’s Base Salary), (iii) the average annual bonus actually payable to the Participant for the three fiscal years immediately prior to the fiscal year in which the Change in Control occurs, or (iv) the average annual bonus actually payable to the Participant for the three fiscal years immediately prior to the fiscal year in which the Participant’s Termination of Employment occurs.   • Final compensation of a member means:

  • Accrued Bonus means the bonus, which may be negative or positive, which is calculated in the manner set forth in Section V.A.

  • Incentive Payment means the payment to a STGU, including an AOBC Generation Unit, for RPS class I Renewable Generation Attributes and/or Environmental Attributes produced by these units, calculated pursuant to Section 7.0 below.

  • Average Incentive Compensation means the average of the annual incentive compensation under Subparagraph 3(a) received by Executive for the three (3) immediately preceding fiscal years or such fewer number of complete fiscal years as Executive may have been employed by the Company. In no event shall “Average Incentive Compensation” include any sign-on bonus, retention bonus or any other special bonus.   • Annual Compensation means an amount equal to the greater of:

  • Base Compensation means the amount equal to the sum of (i) the greater of Executive’s then-current Annual Base Salary or Executive’s Annual Base Salary as of the date one day prior to the Change in Control, and (ii) the Average Incentive Bonus.

  • Final Average Compensation means the aggregate amount of a member's compensation earned within the averaging period in which the aggregate amount of compensation was highest divided by the member's number of years, including any fraction of a year, of credited service during the averaging period. The averaging period shall be 36 consecutive calendar months if the member contributes to the member investment plan except for a member who contributes to the member investment plan and first became a member on or after July 1, 2010; otherwise, the averaging period shall be 60 consecutive calendar months. A member who contributes to the member investment plan and first became a member on or after July 1, 2010 shall also have an averaging period of 60 consecutive calendar months. If the member has less than 1 year of credited service in the averaging period, the number of consecutive calendar months in the averaging period shall be increased to the lowest number of consecutive calendar months that contains 1 year of credited service.

  • Bonus Amount means the greater of (i) the average annual incentive bonus earned by Executive from the Company (or its affiliates) during the last three (3) completed fiscal years of the Company immediately preceding Executive’s Date of Termination (annualized in the event Executive was not employed by the Company (or its affiliates) for the whole of any such fiscal year), and (ii) the Executive’s target annual incentive bonus for the year in which the Date of Termination occurs.

  • Accrued Amount has the meaning set forth in Section 3.1(b) of this Agreement.

  • Monthly salary means the portion of a member’s annual compensation which is paid to him or her per month.

  • Estimated Closing Cash has the meaning set forth in Section 2.4(a).

  • Non-Cash Compensation Expense means any non-cash expenses and costs that result from the issuance of stock-based awards, partnership interest-based awards and similar incentive based compensation awards or arrangements.

  • Cash Bonus means an award of a bonus payable in cash pursuant to Section 10 hereof.
