European Borrowers definition

European Borrowers means, collectively, the German Borrower, the Irish Borrowers, the Lux Borrower and the U.K. Borrower.
European Borrowers shall have the meaning assigned to such term in the introductory statement to this Agreement.
European Borrowers means the Original European Borrower and the Additional European Borrower.

  • Notwithstanding anything to the contrary contained in this Agreement, the applicable U.S. Borrowers and the applicable European Borrowers may rescind any notice of termination under this Section 2.09 if such termination would have resulted from a refinancing of all of the relevant Loans, which refinancing shall not be consummated or shall otherwise be delayed.

  • Upon the receipt by the Administrative Agent of a Borrowing Subsidiary Agreement executed by such Wholly Owned Subsidiary of Holdings, Holdings and the Borrowers, such Wholly Owned Subsidiary of Holdings shall be a Borrower and a party to this Agreement and, thereafter, any reference in this Agreement or in any other Loan Document to the U.S. Borrowers, the European Borrowers or the Borrowers shall, as applicable, include such Wholly Owned Subsidiary in such capacity.

  • The U.S. Borrowers or the European Borrowers, as applicable, shall pay to the Administrative Agent for the account of the applicable Lenders, on the date of each termination or reduction, of any Revolving Credit Commitments, the Facility Fees on the amount of the Commitments so terminated or reduced accrued to but excluding the date of such termination or reduction.

European Borrowers means, collectively, the German Borrower, the Irish Borrowers, the Lux Borrower and the U.K. Borrower. “Event of Default” has the meaning assigned to such term in Section 7.01.

European Borrowers. The “European Borrowers” as defined in the preamble and any Designated Subsidiary organized under the laws of any country in the European Union (other than the United Kingdom) that has executed an Election to Participate and Designated Subsidiary Joinder in accordance with §6.23 and, subject to the second sentence of §6.23(b), until such European Borrower or Designated Subsidiary, as applicable, delivers an Election to Terminate.
European Borrowers means individually or collectively, as required by the context, in each case upon delivery of a European Borrower Joinder Agreement on or after the European Effective Date, one or more of the following Subsidiaries of the Company as designated by the Company: (i) Xxxxx Xxxxxxxx Limited, a company incorporated in England and Wales with company number 0725298, Supply Technologies (UKG) Limited, a company incorporated under the laws of Scotland, Supply Technologies (IRLG) Limited, a company incorporated under the laws of Ireland, Ajax Tocco International Limited, a company incorporated in England and Wales with company number 02676033, and/or Apollo Aerospace Components limited, a company incorporated in England and Wales with a company number 02083500; and (ii) such other Subsidiaries of the Company incorporated in any legal jurisdiction of the United Kingdom or incorporated in Ireland and reasonably acceptable to the Administrative Agent.
