Excess Common Units definition

Excess Common Units means Tendered Common Units, to the extent the issuance of REIT Shares in exchange for such Common Units would result in a violation of the Ownership Limit, including, if applicable, an Excepted Holder Limit (as defined in the Charter).

  • If the General Partner elects to satisfy a Common Unit Notice of Redemption with respect to Excess Common Units pursuant to a Stock Offering Funding, upon the consummation of such Stock Offering Funding, such Stock Offering Funding shall be deemed a “Qualified Offering” for all purposes under the Specified Partner Registration Rights Agreement.

  • Common Units is defined in the Partnership Agreement.

  • Over-Allotment Units means the additional number of Private Units the Sponsor will be required to purchase in the event that the underwriters in the Company’s initial public offering exercise their over-allotment option, as described in the prospectus relating to the Company’s initial public offering.

  • Class A Common Shares means the Class A common shares of the Company, par value US$0.00001 per share, at the date of this Indenture, subject to Section 14.07.

  • REIT Shares shall have the meaning set forth in the OP Agreement.

  • Class A Units means the Units of partnership interest in the Partnership designated as the “Class A Units” herein and having the rights pertaining thereto as are set forth in this Agreement.

  • Partnership Units or “Units” has the meaning provided in the Partnership Agreement.

  • General Partner Units has the meaning assigned to such term in the Partnership Agreement.

  • Series A Preferred Units has the meaning assigned to such term in Section 5.11(a).

  • Excess Stock means Excess Stock as defined in Section 7.4 of the Company's Amended and Restated Articles of Incorporation.

  • Parent Common Shares means the common shares of the Parent;

  • Amalco Common Shares means the common shares in the capital of Amalco;

  • OP Units means units of limited partnership interest in the Operating Partnership.

  • Common Unit Price has the meaning specified in Section 2.1(b).

  • Preferred Units means the Series A Preferred Units and the Series B Preferred Units.
