Shares of Excess Stock so held in trust shall be issued and outstanding stock of the Corporation.
The Trustee, as record holder of the shares of Excess Stock, shall be entitled to receive all dividends and distributions and shall hold all such dividends or distributions in trust for the benefit of the Beneficiary.
The Trustee, as record holder of the Excess Stock, shall be entitled to vote all shares of Excess Stock.
Any conversion of shares of Equity Stock into shares of Excess Stock and transfer to a Trust shall be effective as of the close of trading on the Trading Day prior to the date of the purported Transfer or Non-Transfer Event that results in the conversion.
