Exchange Closing definition

Exchange Closing means a Dilutive Event Exchange Closing, a Reverse Exchange Closing, a Fundamental Event Exchange Closing or a Voting Power Exchange Closing.

Exchange Closing has the meaning set forth in Section 2.4(b) herein.

Exchange Closing means the consummation of the transactions contemplated by and Exchange Contract.
