Excluded Facility definition

Excluded Facility means a LTC Facility that a Company owns, Controls, operates, leases, subleases or manages during the term of this Agreement, which is either identified on Schedule A-2 (as updated from time to time) as being excluded from the scope of this Agreement, or which is not (pursuant to the terms of this Agreement) subject to or added to, as applicable, this Agreement. “Original Excluded Facilities” mean the Excluded Facilities on the Effective Date as identified on Schedule A-2.

Excluded Facility means any Facility as to which the Existing Master Lease has been terminated prior to the Divestiture Closing Date as more fully set forth in Section 14.6 of the Existing Master Lease.

Excluded Facility has the meaning set forth in Section 3.1.

Examples of Excluded Facility in a sentence

• If false, misleading, or inaccurate information is submitted, or requested information is not provided, including but not limited to information contained or submitted in this Certification and Acknowledgement, Excluded Facility status shall not be recognized for [NAME OF RESOURCE/PROJECT] which may potentially be subject to an Offer Floor in accordance with the BSM Rules unless it is otherwise determined to be exempt pursuant to Section 23.4.5.7.2(a) or (b) of the Services Tariff.

• I have personal knowledge of the facts and circumstances supporting [NAME OF RESOURCE/PROJECT]’s status as an Excluded Facility pursuant to the NYISO’s BSM Rules.

• If the transferee facility is located in a Mitigated Capacity Zone and is not an Excluded Facility, pursuant to Section 23.2 of the MST, the transferee facility must, pursuant to Section 23.4.5.7 of the MST, obtain a Buyer-Side Mitigation determination.

• Certifications and Acknowledgments found in this section must be made on behalf of an Excluded Facility that asserts the project or Resource complies with the criteria specified in (i),(ii) and/or (iii) of the Excluded Facilities definition in Section 23.2 of the Services Tariff.

Excluded Facility has the meaning ascribed to such term in Section 3.20(a).
