Excluded Facility definition

Excluded Facility means a LTC Facility that a Company owns, Controls, operates, leases, subleases or manages during the term of this Agreement, which is either identified on Schedule A-2 (as updated from time to time) as being excluded from the scope of this Agreement, or which is not (pursuant to the terms of this Agreement) subject to or added to, as applicable, this Agreement. “Original Excluded Facilities” mean the Excluded Facilities on the Effective Date as identified on Schedule A-2.

Excluded Facility has the meaning ascribed to such term in Section 3.20(a).

Excluded Facility means any Facility as to which the Existing Master Lease has been terminated prior to the Divestiture Closing Date as more fully set forth in Section 14.6 of the Existing Master Lease.

• Certifications and Acknowledgments found in this section must be made on behalf of an Excluded Facility that asserts the project or Resource complies with the criteria specified in (i),(ii) and/or (iii) of the Excluded Facilities definition in Section 23.2 of the Services Tariff.

• All books and records for any Excluded Facility kept by Lessee pursuant to Section 3.5 of the Original Lease shall be delivered promptly to SBILP or its nominee, simultaneously with the execution and delivery of this Lease, but such books and records shall thereafter be available to Lessee at all reasonable times for inspection, audit, examination, and transcription for a period of one (1) year and Lessee may retain (on a confidential basis) copies or computer records thereof.

• Certifications and Acknowledgments found in this section must be made on behalf of an Excluded Facility that asserts the project or Resource complies with the criteria specified in (i), (ii) and/or (iii) of the Excluded Facilities definition in Section 23.2 of the Services Tariff.

• Whenever balances on deposit in an Excluded Facility Deposit Account exceed $20,000, all amounts then on deposit in such Excluded Facility Deposit Account shall within 5 Business Days thereof be deposited into a Private Deposit Account or the Concentration Account (or if collections or proceeds of Government Accounts, solely into a Government Receivables Deposit Account) or dealt with in such other fashion as required or permitted under the terms of the ABL Facility Documentation.

• Excluded: Facility and plant maintenance and scheduled, recurring repair other than operator maintenance is charged to Sustainment, PE ***78F or Restoration & Moderation, PE ***76 based on work classification.

More Definitions of Excluded Facility

Excluded Facility has the meaning set forth in Section 3.1.

Excluded Facility means the real property and plant located at 601 ----------------- Redna Terrace, Cincinnati, Ohio, to the extent that such real property and plant is purchased by the Company for an amount not exceeding $6,000,000 and subse quently sold by the Company on or prior to March 31, 1999 pursuant to a transaction in which the Company enters into a lease agreement with the purchaser of such real property and plant on terms no less favorable in any material respect than the terms of the existing lease agreement for such real property and plant.

Excluded Facility means any fitness center that is operated as part of the Excluded Business.
