Excluded Marks definition

Excluded Marks means all trademarks, applications for trademark registration, service marks, applications for service xxxx registration, trade names, domain names and related registrations owned by Seller or an Affiliate of Seller, or licensed to Seller or an Affiliate of Seller by any Person, and any derivations of the foregoing.
Excluded Marks means the trademark “XXXXXX” and the Rowel Design, in each case whether used on a standalone basis or in connection with any other trademark, design, company name, trade name, domain name or other source identifier (other than as specifically used in the trademarks set forth in Exhibit B). For the avoidance of doubt, the Excluded Marks shall include the trademarks set forth in Exhibit A.
Excluded Marks mean all the trademarks set forth in Exhibit 2, in each case whether used on a standalone basis or in connection with any other trademark, design, company name, trade name, domain name, or other source identifier (other than as specifically used in the trademarks set forth in Exhibit 1).

Examples of Excluded Marks in a sentence

  • Buyer acknowledges the exclusive and proprietary rights of Seller and its Affiliates in the use of the Excluded Marks, and Buyer agrees that it shall not use the Excluded Marks (or any names, domain names, marks or indicia confusingly similar to the Excluded Marks) except and to the extent expressly set forth in this Section 10.1.3 or assert any rights or claims in such Excluded Marks (or in any names, domain names, marks or when confusingly similar to the Excluded Marks).

  • Buyer acknowledges and admits that there is no adequate remedy at law for such failure to terminate use of the Excluded Marks, or for such improper use of the Excluded Marks.

  • After the Closing, Buyer will not use, and will destroy or deliver to Seller, all such items with Excluded Marks affixed to them that have no valid continuing use in Buyer's operation of the Business, including items affecting customer or employee relations or items that do not reflect Buyer's true identity.

  • Buyer further agrees that any and all permitted use of the Excluded Marks pursuant to this Agreement shall inure to the sole and exclusive benefit of Seller.

  • This creates a very critical need for PVCS to ensure that all students graduate and possess the Career/Technical skills needed to succeed in the World of Work.


More Definitions of Excluded Marks

Excluded Marks has the meaning set forth in Section 2.2(b).
Excluded Marks means any Trademark owned or used by any Sellers or any of their Affiliates (other than Business Intellectual Property), including those that are comprised of or that include one or more of the following elements: Lumen, CenturyLink, CenturyTel, Quantum Fiber, Level 3, Savvis, Qwest, Q, Q Fiber, tw telecom, United Telephone and Global Crossing.
Excluded Marks means all Trademarks owned by Seller or an Affiliate of Seller (other than the Company), or licensed to Seller or an Affiliate of Seller (other than the Company) by any Person (other than the Company) and any Trademarks confusingly similar to the foregoing.
Excluded Marks has the meaning ascribed thereto in Section 5.3 hereof.
Excluded Marks means all Trademarks and related registrations and applications for registration owned by Licensor, its Affiliates, Spinco or Spinco Subsidiaries on or before the Closing Date or licensed to Licensor or an Affiliate of Licensor by any Person, and any derivations of the foregoing.
Excluded Marks means any name, xxxx or symbol that includes, is identical to or is confusingly similar to, any of the trademarks, service marks, domain names, trade names or other indicia of origin set forth on Schedule 1.01(a)(vi) or any other trademark, service xxxx, domain name, trade name or other indicia of origin characterized as an Excluded Asset.
