Excluded Prepayment definition

Excluded Prepayment means the prepayments required under Section 2.5(c)(ii) as a result of the receipt of proceeds from any Recovery Event in respect of claims existing on or prior to the Fifth Amendment Effective Date. Notwithstanding the foregoing, no reduction in the Revolving Commitments shall be required under this Section 2.1(b)(iv), to the extent such reduction would result in Total Commitment being less than $150,000,000.

  • Any amount equal to any Excluded Prepayment Amount not required to be used to make a payment under the immediately preceding sentence shall, upon expiration of such one (1) year period, be used to prepay Indebtedness of such Foreign Subsidiaries (including intercompany Indebtedness), if any, with the balance to be used for working capital of such Foreign Subsidiaries.

  • Upon receipt of such notice, Borrower shall convert all of its then outstanding LIBOR Loans to Prime Loans on either (a) the last day of the then current Interest Period applicable to such LIBOR Loan if Bank may lawfully continue to maintain and fund such LIBOR Loan to such day or (b) immediately if Bank may not lawfully continue to fund and maintain such LIBOR Loan to such day.


More Definitions of Excluded Prepayment

Excluded Prepayment means an optional prepayment after the first anniversary of the Closing Date of all of the Loans out of the proceeds to Borrower of an issuance of common stock by the Borrower so long as such prepayment is consummated within 20 days of the closing of such common stock issuance, or a mandatory prepayment of the type described in Section 2.10(c) or Section 2.10(f).
Excluded Prepayment means (a) prepayments of Loans consisting of PIK Principal, (b) prepayments of [***], and (c) prepayments of Loans pursuant to Section 2.03(a) or Section 2.03(b)(i) funded with internally generated cash of Parent and its Subsidiaries (i) in an aggregate principal amount of up to $10,000,000 for all such prepayments and (ii) in an additional aggregate principal amount of up to $10,000,000 for all such prepayments on or after the first anniversary of the Closing Date.

  • Permitted Prepayment Date means the Business Day after the second (2nd) anniversary of the first Payment Date

  • Debt Prepayment Application means, with respect to any asset disposition, the application by the Company or any Subsidiary thereof of cash in an amount equal to the Net Proceeds Amount (or portion thereof) with respect to such asset disposition to pay Senior Indebtedness of the Company or such Subsidiary.

  • Required Prepayment Lenders the Majority Facility Lenders in respect of each Facility.

  • Proposed Prepayment Date is defined in Section 8.3(c).

  • Reinvestment Prepayment Date with respect to any Reinvestment Event, the earlier of (a) the date occurring twelve months after such Reinvestment Event and (b) the date on which the Borrower shall have determined not to, or shall have otherwise ceased to, acquire or repair assets useful in the Borrower’s business with all or any portion of the relevant Reinvestment Deferred Amount.

  • Borrower Offer of Specified Discount Prepayment means the offer by any Company Party to make a voluntary prepayment of Term Loans at a Specified Discount to par pursuant to Section 2.05(a)(v)(B).

  • Mandatory Prepayments has the meaning given to such term in Section 1.2(b).

  • Principal Prepayment Amount For any Distribution Date and for any Loan Group, the sum with respect to the Mortgage Loans in such Loan Group of (i) Curtailments received during the Prior Period from such Mortgage Loans and (ii) Payoffs received during the Payoff Period from such Mortgage Loans.

  • Asset Sale Prepayment Event shall not include any transaction permitted by Section 10.4 (other than transactions permitted by Section 10.4(b) and Section 10.4(o), which shall constitute Asset Sale Prepayment Events).

  • Waivable Mandatory Prepayment shall have the meaning assigned to such term in Section 2.11(e).
