Excluded Real Estate definition

Excluded Real Estate means the property located at ▇▇▇▇ ▇▇▇ ▇▇▇▇ ▇▇▇▇▇▇▇▇▇▇▇ ▇▇▇▇▇▇, ▇▇▇▇▇▇ ▇▇▇▇▇▇, ▇▇▇▇▇▇▇▇▇▇ ▇▇▇▇▇.
Excluded Real Estate means (1) MGP’s “new” office building and laboratory located in Atchison, Kansas and which has been conveyed to, and leased back from, the City of Atchison in connection with an industrial revenue bond financing transaction (including, without limitation, the Borrower’s leasehold interest in such property), and (2) MGP’s plant located in Kansas City, Kansas (i.e., the KCIT Facility), so long as such plant is encumbered by a lien which secures “Permitted Debt” under the Senior Credit Agreement.
Excluded Real Estate means (1) MGP’s “new” office building and laboratory located in Atchison, Kansas and which has been conveyed to, and leased back from, the City of ▇▇▇▇▇▇▇▇ in connection with an industrial revenue bond financing transaction (including, without limitation, the Borrower’s leasehold interest in such property), and (2) MGP’s plant located in Kansas City, Kansas (i.e., the KCIT Facility), so long as such plant is encumbered by a lien which secures “Permitted Debt” under the Senior Credit Agreement.

  • Notwithstanding the foregoing, the Company shall not, nor shall it permit any Subsidiary to, directly or indirectly, create, incur, assume or suffer to exist any Lien (other than a Borrowing Base Real Estate Permitted Lien) upon any Excluded Real Estate Collateral, whether now owned or hereafter acquired.

Excluded Real Estate means each of the real Properties listed as “excluded real estate” on Schedule 1.1(a).

Excluded Real Estate means the Real Estate generally known as 130 ▇.▇. ▇▇▇▇▇ Drive, Berlin, New Jersey.

Excluded Real Estate means the real property of Seller other than the real property described on Schedule 1.1.1(a). 1.1.44 "Financial Statements" has the meaning set forth in Section 3.4 hereof.
Excluded Real Estate means Real Estate (a) that has a book value, individually and in the aggregate with all other Real Estate of the Credit Parties that does not constitute Mortgaged Real Estate, of less than five percent (5%) of Consolidated Net Tangible Assets and generates less than five percent (5%) of the aggregate revenues of the Borrower and its consolidated Restricted Subsidiaries as of the most recently completed fiscal quarter or year for which Partners’ financial statements are available as provided in Section 7.1, (b) that is designated by the Borrower in writing to the Agent at the time of the acquisition thereof as having been acquired with the intention of transferring such Real Estate to a Joint Venture through a Permitted JV Investment, provided that, if such Real Estate is not transferred to such Joint Venture within ninety (90) days (or such longer period of time as the Agent may agree in writing in its sole discretion) of being acquired then such Real Estate shall no longer constitute Excluded Real Estate pursuant to this clause (b), (c) designated as Excluded Real Estate on Schedule 6.19 as of the Closing Date, or (d) with respect to which the Agent has determined in its sole discretion that such Real Estate shall constitute Excluded Real Estate for the purposes of this Credit Agreement and the other Credit Documents.
