Excluded Representations and Warranties means the representations and warranties set forth in Sections 3.1, 3.2, 3.4, 3.6, 3.13, 3.14, 3.15, 3.18, 3.19, 4.1, 4.2, 4.3, 4.9, 4.10, 4.11 and 4.12.

Examples of Excluded Representations and Warranties in a sentence

  • Notwithstanding the foregoing, this Section 9.2(b)(i) shall not apply to Losses resulting from a breach of the Excluded Representations and Warranties.

  • In no event shall the Sellers have any liability or obligation with respect to the Excluded Representations and Warranties in excess of 10% of the Base Purchase Price; provided, however, that this limitation shall not apply to Losses with respect to Actual Fraud or, for the avoidance of doubt, to Losses resulting from matters described in Section 10.01(b)(iii).
