Excused Events definition

Excused Events means (i) [Buyer’s failure to cause Gas to be available to Seller at the Gas Delivery Point, (ii)] the Buyer’s failure to take Energy from and after the Electrical Delivery Point, and (iii) an event of Force Majeure that is claimed by Buyer. [Bracketed language applicable only to tolling agreements.]
Excused Events are the following: Reliability and safety related reduction of supply directed by the RTO or TDU, as the case may be, and other planned or unplanned transmission outages mandated by RTO or TDU not related to a EEA System Emergency, Force Majeure, Non-Compensated Curtailment up to the Annual Non-Compensated Curtailment Cap, and Substation PM. No make-whole provisions of any kind shall be due and owing to Customer by Supplier in connection with an Excused Event. “Otherwise Compensated Events” are the following: EEA System Emergency Curtailment and Compensated Curtailment. On a bi-weekly basis, Supplier shall report to Customer the running total of Non-compensated Curtailment and the Compensated Curtailment for the calendar year; provided that, if the Non-compensated Curtailment cap has been reached prior to the end of any calendar year, Supplier shall promptly notify customer in writing that the Non-compensated Curtailment cap has been reached for such calendar year.
Excused Events means Force Majeure events, the failure of Owner and/or Millennium to furnish sufficient fuel, makeup water, waste disposal services, and other services required to be provided to Operator hereunder, events arising out of latent defects, or the failure to perform maintenance recommended by Operator but excluded from any Major Maintenance Budget or any Annual Operating Plan and Budget by Owner, or any event occurring prior to the Acceptance Date.

Examples of Excused Events in a sentence

  • Provider shall not be responsible for the failure to meet any Service Level to the extent that any such failure is attributable to any Excused Events.

  • On and after the Full Load Deployment Date and throughout the Term, Supplier shall deliver Product to Customer in the full amount of Customer’s requirements (the “Guaranteed Level”), subject to Excused Events and Otherwise Compensated Events.

  • To the extent the Units were unavailable to Buyer due to Instructed Operations or Excused Events, the Units shall be deemed to have been Available for purposes of determining TPEm and therefore no deduction is made for such hours.

Related to Excused Events

  • Specified Event of Default means any Event of Default under Section 8.01(a), (f) or (g).

  • Events means an action or occurrence, at any given location within the Authorized System that causes a Collection System Overflow. An Event ends when there is no recurrence of a CSO or SSO in the Collection System at the same location in the 12-hour period following the last Collection System Overflow.

  • Triggering Event of Default means (i) any Event of Default with respect to an obligation of the Mortgage Loan Borrower to pay money due under the Mortgage Loan or (ii) any non-monetary Event of Default as a result of which the Mortgage Loan becomes a Specially Serviced Mortgage Loan (which, for clarification, shall not include any imminent Event of Default (i.e., subclause (vii) of the definition of Special Servicing Loan Event)).

  • Extraordinary Events Any of the following conditions with respect to a Mortgaged Property (or, with respect to a Cooperative Loan, the Cooperative Apartment) or Mortgage Loan causing or resulting in a loss which causes the liquidation of such Mortgage Loan:
