Exercisable Option Shares definition

Exercisable Option Shares means the shares of Common Stock which, at the time of determination, could be purchased by the Optionholder upon exercise of his or her outstanding exercisable Options.
Exercisable Option Shares means the shares of Common Stock that, at the time that a Redemption Notice or Repurchase Notice is delivered (as applicable), could be purchased by the Management Stockholder upon exercise of his or her outstanding and exercisable Options.
Exercisable Option Shares means the shares of Common Stock which, at the time of determination of the Option Excess Price could be purchased by the Management Stockholder upon exercise of his or her outstanding options. The Company will use its reasonable best efforts to cause a Registration Statement on Form S-8 covering shares of Issued Stock contemplated hereby to be filed within six months of the date hereof.

  • For purposes hereof, "Option Excess Price" shall mean the excess, if any, of the Section 7 Repurchase Price or the Section 8 Repurchase Price, depending on which Repurchase Price is (or would be) used to repurchase the Option Shares, over the exercise price applicable to such Options multiplied by the number of Exercisable Option Shares.

More Definitions of Exercisable Option Shares

Exercisable Option Shares shall be the Option Shares granted in paragraph 1 and vested in accordance with paragraph 2(a) hereof, less Option Shares previously exercised.
Exercisable Option Shares with respect to any Option shall mean the shares of Common Stock which, at the time of determination of the Option Excess Price, could be purchased by the Management Stockholder upon exercise of such Option (after giving effect to any required accelerated vesting of such Option). If the Option Excess Price with respect to any Option is zero or a negative number, such Option, whether or not then exercisable, shall be automatically terminated without payment of any amount upon the exercise of any put or call right pursuant to Section 5 or 6 with respect to any Stock arising from an event which also gives rise to a put or call right with respect to such Option; provided, however, that, upon the occurrence of any Section 6(c) Call Event, any exercisable Old Option not repurchased pursuant to Section 6 shall remain exercisable until the expiration or termination of such Old Option pursuant to the terms thereof.
Exercisable Option Shares means, at any time, the aggregate number of shares of Class B Stock that are at such time (a) SBC Domestic Option Shares and (b) SBC Warburg Option Shares.
Exercisable Option Shares shall have the meaning set forth in Section 6(b)(B) hereof.

Exercisable Option Shares means the shares of Common Stock that, at the time that Redemption Notice or Repurchase Notice is delivered (as applicable), could be purchased by the Management Stockholder upon exercise of his or her outstanding and exercisable Options. “Fair Market Value” shall mean the fair market value of the Common Stock on any given date, as determined reasonably and in good faith by the Board after consultation with the Chief Executive Officer of the Company. “Good Reason” shall mean “Good Reason” as such term may be defined in any employment agreement or change-in-control agreement in effect at the time of termination of employment between the Management Stockholder and the Company or any of its subsidiaries or Affiliates, or, if there is no such employment or change-in-control agreement, “Good Reason” shall mean (i) (A) a reduction in the Management Stockholder’s base salary (other than a general reduction in base salary that affects all similarly situated employees (defined as all employees within the same pay grade as that of the Management Stockholder) in substantially the same proportions that the Board implements in good faith after consultation with the Chief Executive Officer and Chief Operating Officer of the Company); (B) a reduction in the Management Stockholder’s annual incentive compensation opportunity; or (C) the reduction of benefits payable to the Management Stockholder under the Company’s Supplemental Executive Retirement Plan (if the Management Stockholder is a participant in such plan), in each case other than any isolated, insubstantial and inadvertent

Related to Exercisable Option Shares

  • Option Shares shall have the meaning ascribed to such term in Section 2.2(a).

  • Optioned Shares means the shares of Common Stock that are issued pursuant to the exercise of the Options;

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • Option Warrants shall have the meaning ascribed to such term in Section 2.2(a).

  • Option Stock shall have the meaning set forth in Section 2(a) hereof.

  • Purchase Option Price means the amount payable by a Lessee upon the exercise of its option to purchase a related 2018-1 Vehicle which amount equals (a) with respect to a Matured Vehicle, the Contract Residual Value plus any fees, taxes and other charges imposed in connection with such purchase and (b) with respect to a related 2018-1 Vehicle for which the related 2018-1 Lease has been terminated early by the Lessee, the sum of (i) any unpaid Monthly Payments due, (ii) any fees, taxes and other charges imposed in connection with the related 2018-1 Lease, (iii) an early termination fee and (iv) the Actuarial Payoff.

  • Repurchase Option has the meaning set forth in Section 1.3(a) hereto.

  • Top-Up Option has the meaning set forth in Section 1.04(a).

  • Parent Stock Option means any option to purchase Parent Common Stock granted under any Parent Stock Plan.

  • Unvested Shares means "Unvested Shares" as defined in the Award Agreement.

  • Non-Vested Shares means any portion of the Restricted Stock subject to this Agreement that has not become vested pursuant to this Section 2.

  • Founder Shares shall have the meaning given in the Recitals hereto and shall be deemed to include the shares of Common Stock issuable upon conversion thereof.

  • Converted Shares means the Subject Equity Shares resulting from the conversion of Limited Voting Shares into the Subject Equity Shares pursuant to subparagraph (ii);

  • Stock Option means a contractual right granted to an Eligible Person under Section 6 hereof to purchase shares of Common Stock at such time and price, and subject to such conditions, as are set forth in the Plan and the applicable Award Agreement.

  • Director Option means an Option granted pursuant to Section 6.

  • Optioned Stock means the Common Stock subject to an Option.
