Exercise Restriction definition

Exercise Restriction means restrictions on the ability of a Participant to exercise a vested Performance Right as specified for the purposes of clause 4.1(a);
Exercise Restriction shall have the meaning set forth in Section 6.8(d).

  • If a Participant purports to exercise an Option in contravention of any applicable Exercise Restriction, the Option will be deemed to have been exercised on the first date the Exercise Restriction ceases to apply, subject to payment of the relevant Exercise Price.

Related to Exercise Restriction

  • Put Restriction means the days between the beginning of the Pricing Period and Closing Date. During this time, the Company shall not be entitled to deliver another Put Notice.
