This Agreement is a “Credit Agreement” for purposes of the Existing Second Lien Notes Indentures.
The Obligations constitute (a) “First-Lien Indebtedness” pursuant to, and as defined in, the Senior Lender Intercreditor Agreement, (b) [reserved], and (c) “First-Priority Lien Obligations” pursuant to, and as defined in, the Existing Second Lien Notes Indentures.
By its acceptance of the Additional Notes, each Holder shall be deemed to authorize the Trustee and Collateral Agent, as the case may be, to enter into (including by way of joinder or accession and by way of appointing the Existing Second Lien Notes Collateral Agent to serve as representative of the Collateral Agent) the Collateral Documents and the Intercreditor Agreements and to perform its obligations and exercise its rights thereunder in accordance therewith.
The Obligations constitute (a) “First-Lien Indebtedness” pursuant to, and as defined in, the Senior Lender Intercreditor Agreement, (b) “First-Priority Lien Obligations” pursuant to, and as defined in, each Existing Second Lien Notes Indenture, and (c) “Revolving Facility Obligations” as defined in the Senior Lender Intercreditor Agreement.
Nothing contained in this Agreement shall amend, waive, or modify the Indenture or Existing Second Lien Notes or constitute the amendment or waiver of any Party’s rights and remedies thereunder.
