Existing Share Options definition

Existing Share Options means all rights, options, warrants and other securities (other than the Notes) convertible or exchangeable into equity securities of Jaguar;
Existing Share Options means the existing options to subscribe for 1,110,900 Ordinary Shares granted by the Company under the LTIP, details of which are set out in note 25 to the Accounts;

  • Pursuant to this Plan and in accordance with the steps and sequences set forth herein, all Existing Share Options, Rights and the Shareholder Rights Plan shall be cancelled and shall be deemed to be cancelled without the need for any repayment of capital thereof or any other liability, payment or compensation therefor and for greater certainty, no holders of Existing Share Options or Rights shall be entitled to receive any interest, dividends, premium or other payment in connection therewith.

  • The issuance of new shares upon exercise of the Share Options 2020B and the Existing Share Options, or conversion of the 2024 Convertible Bonds, will lead to a dilution of the existing shareholders of the Company and of the relative voting power of each share in the Company.

  • The number of the Rights Shares which may be issued pursuant to the Rights Issue will be increased in proportion to any Shares which may be allotted and issued pursuant to the exercise of the Existing Share Options on or before the Record Date.

  • For the purpose of the full-dilution scenario calculations further below, it is assumed that the remaining number of shares that can still be issued pursuant to the Existing Share Options and 2024 Convertible Bonds, has indeed been issued.

  • Specifically, prior to the exercise of the Share Options 2020B and the Existing Share Options and conversion of the 2024 Convertible Bonds, each share participates equally in the profit and liquidation proceeds of the Company and provides the holder thereof a statutory preferential subscription right in case of a capital increase in cash.

  • Company Stock Option Plan means any equity incentive, stock option, stock bonus, stock award or stock purchase plan, program or arrangement, as amended to date, of the Company or any Company Subsidiary, or any predecessor of any of the foregoing, including the Company's 2003 Omnibus Stock Option Plan and 2000 Omnibus Stock Option Plan.

  • Company Options means options to purchase shares of Company Common Stock.
