Exit Agents definition

Exit Agents means 1L Exit Facility Agent, the 2L Exit Facility Agent, the 3L Exit Facility Agent, the ABL Exit Facility Agent, and their successors, assigns, or any replacement agent appointed pursuant to the terms of the Exit Facility Credit Agreements.
Exit Agents means each agent or trustee, as applicable, under the Exit Facilities.
Exit Agents means, collectively, the administrative agents under the ExitFacilities.

  • Each of the conditions set forth in Section 8.02 of the Plan may be waived in whole or in part by written consent of the Debtors, the Prepetition Agents, the DIP Agent and the Exit Agents, without any notice to other parties in interest or the Bankruptcy Court and without a hearing.

  • Each Bank and the Issuing Bank hereby acknowledge that it has fully reviewed the Intercreditor Agreement and, by its execution of this Agreement, hereby consents to the execution and delivery of the Intercreditor Agreement by the Exit Agents on the closing date of the Exit Facility, and agrees to comply with the terms thereof as if such Bank or Issuing Bank were a direct signatory thereto.

More Definitions of Exit Agents

Exit Agents means, collectively, the Exit ABL Agent and the New Indenture Trustee.

  • Remarketing Agent(s) has the meaning set forth in the Supplemental Indenture.

  • Senior Managing Agents means the banks listed on Schedule 1 hereto, in their capacity as senior managing agents of the credit facility hereunder.

  • Lead Arrangers means X.X. Xxxxxx Securities LLC, Xxxxxxx Xxxxx Bank USA, Deutsche Bank Securities Inc., Barclays Bank PLC, Xxxxxx Xxxxxxx Senior Funding, Inc. and Credit Suisse Loan Funding LLC.

  • Prepetition Agent means Goldman Sachs Bank USA in its capacity as administrative agent and collateral agent under the Prepetition Credit Agreement.

  • Arrangers as defined in the preamble hereto.

  • Documentation Agents as defined in the preamble hereto.

  • Supplemental Administrative Agents shall have the corresponding meaning.

  • Grantee Agents means Xxxxxxx’s representatives, employees, officers, as well as any contractor

  • Agents means, collectively, the Administrative Agent and the Collateral Agent.

  • Contractor Agents means Contractor's representatives, employees, officers, Subcontractors, as well as their employees, contractors, officers, and agents.

  • Joint Lead Arrangers shall have the meaning assigned to such term in the introductory paragraph of this Agreement.

  • Co-Lead Arrangers means X.X. Xxxxxx Securities Inc. and RBSGC.

  • L/C Issuers means (i) Bank of America, (ii) any other Lender in its capacity as issuer of Letters of Credit hereunder who has been selected by GFI and who has agreed to be an L/C Issuer hereunder in accordance with the terms hereof and (iii) any successor issuer of Letters of Credit hereunder appointed in accordance with the terms hereof, and “L/C Issuer” means any one of them.

  • Global Agent has the meaning specified in the preamble, and any duly qualified and appointed successor or successors of U.S. Bank thereto.

  • Syndication Agent as defined in the preamble hereto.

  • DIP Agent means the administrative agent for the DIP Lenders as defined in the DIP Credit Agreement.

  • Co-Syndication Agent as defined in the preamble hereto.
