Expense Escrow Agreement definition

Expense Escrow Agreement is defined in Section 1.13(f).

Expense Escrow Agreement means the Expense Escrow Agreement to be entered into at the Closing between the Member Representative and the Expense Escrow Agent, in such form as shall be agreed to by such parties prior to the Effective Date.

Expense Escrow Agreement means an escrow agreement to be entered into between the Shareholder Representative and the Escrow Agent in connection with the Closing with respect to the Shareholder Representative Expense Fund.

• As of the expiration or termination of the Expense Escrow Agreement or as otherwise contemplated thereby, any remaining portion shall be distributed to the Unitholders (in accordance with the preference and payment provisions set forth in this Agreement) and Parent, pro rata based on the initial contribution amounts.

• If any portion of the Expense Escrow Amount is disbursed to the Securityholders from the Expense Escrow Fund at the discretion of the Representative, such disbursement shall be allocated among the Securityholders pursuant to the provisions of the Representative Expense Escrow Agreement and this Agreement in accordance with the Spreadsheet.
