Extended Representations definition

Extended Representations has the meaning set forth in Section 8.1(b)(ii).
Extended Representations means the representations and warranties set forth in Section 3.11 (Employee Benefit Plans), Section 3.12 (Labor Relations), Section 3.9(n) (Absence of Certain Changes) and Section 3.14 (Taxes).
Extended Representations shall have the meaning set forth in Section 10.3.4.

Examples of Extended Representations in a sentence

  • Subject to the limitations and other provisions of this ARTICLE VII, the representations and warranties contained herein (other than any representations or warranties contained in Section 3.22, which are subject to ARTICLE VI) shall survive the Closing until the date that is eighteen (18) months following the Closing Date, provided, however, that the Extended Representations of Sellers and the Fundamental Representations shall survive indefinitely.

  • The Extended Representations shall survive the Closing and continue until the expiration of the applicable statute of limitations.

  • In addition, the aggregate liability for all Sellers for all recoverable Losses pursuant to Section 11.02(a) shall not exceed $17,550,000, including amounts recovered from the Indemnification Escrow Account; provided, however, that the limitations set forth in this Section 11.03(a) shall not apply to any Loss resulting from the breach of the Special Representations or the Extended Representations or the Covenants set forth in Section 8.04.

  • Notwithstanding the foregoing, any breach of any of the representations and warranties of Seller contained in Article IV (other than (x) the Seller Fundamental Representations, (y) the Extended Representations and (z) the representation and warranty made in Section 4.9(a)) shall not be a failure of the condition precedent in this Section 2.3(a) unless such breach would have a Material Adverse Effect.

  • The Purchaser Indemnitees will not be entitled to recover under Section 9.1 and Section 9.2 for any Damages that, in the aggregate, exceed the Indemnification Cap; provided, however, that the foregoing limitation shall not apply to (and Damages not count towards the Indemnification Cap in respect of): (A) claims made for any inaccuracy in or breach of any Extended Representations, or (B) claims made under Section 9.1 (b) through Section 9.1 (h) or Section 9 .2(b) through Section 9.2(c).
