Facility Document definition

Facility Document means the Application Form, the Letter of Offer and these Conditions;

• Any provision of this Agreement or any other Facility Document which is prohibited or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions hereof or affecting the validity or enforceability of such provision in any other jurisdiction.

• If any dispute or disagreement shall arise as to the allocation of any sum of money received by the Collateral Agent hereunder or under any Facility Document, the Collateral Agent shall have the right to deliver such sum to a court of competent jurisdiction and therein commence an action for interpleader.

• Any waiver of any provision of this Agreement or any other Facility Document, and any consent to any departure by any party to this Agreement or any other Facility Document from the terms of any provision of this Agreement or such other Facility Document, shall be effective only in the specific instance and for the specific purpose for which given.

Facility Document means each document specified as a Facility Document in clause 3 (Facility Documents), this Letter, any other document pursuant to which a security interest, guarantee or other form of credit support is created or exists in favour of the Bank in respect of the obligations of the Companies under this Letter and any other document mutually designated as a Facility Document by the Bank and the Companies.”

Facility Document means the Loan and Security Agreement between the Creditor and the Principal Debtor dated 17 November 1995 as amended as of 1 August 1996 and as further amended from time to time

Facility Document means this Agreement, the Note, and any other agreement, document, instrument or contract entered into or furnished to the Bank in connection with any of the foregoing documents or supporting, securing or otherwise relating to the Facility, in each case as amended, amended and restated, supplemented or otherwise modified from time to time. ’’Interest Period’’ shall mean, in relation to a Loan, successive periods of one (1) month, three (3) months, or six (6) months, as selected by the Borrower, the first of which shall begin on the Borrowing Date of such Loan and succeeding of which shall begin on the last day of the immediately preceding Interest Period applicable thereto; provided that any Interest Period that would otherwise end on a day that is not a Banking Day shall end on the next succeeding Banking Day, unless such Banking Day falls in another calendar month, in which case such Interest Period shall end on the next preceding Banking Day, and no Interest Period shall extend beyond the Maturity Date.

Facility Document or any other agreement or instrument is a reference to that Facility Document or other agreement or instrument as amended or novated;

Facility Document means each of the documents specified in paragraph 4.1, any other document pursuant to which a security interest, guarantee or other form of credit support is created or exists in favour of the Bank in respect of the obligations of any Company in respect of any Credits or any facility offered by the Bank in connection with the Master Agreements, and any other document designated as a Facility Document by the Companies and the Bank.

Facility Document means the Facility Letter, any Security Document, each Guarantee or any other document designated as such by us and you.

Facility Document means each of this Agreement, the Insurance Policy, each Purchase Request, together with each Purchase Schedule, each Portfolio Report and all other documents, instruments or agreements required to be delivered by a Facility Party in connection herewith.
