Fee & Expense Award definition

Fee & Expense Award means the attorneys’ fees, costs and expenses that Class Counsel will seek from the Court as more fully described in Section 3.2.
Fee & Expense Award means any fee and expense award issued by the Court in the Federal Consolidated Action. Other than the references made herein as to Plaintiffs’ Counsel’s intention to move the Court for an award of fees and expenses, the parties acknowledge that they have had no negotiations or discussions regarding the payment of attorney’s fees or reimbursement of litigation expenses.
Fee & Expense Award means the amount of an award to which Class Counsel shall be entitled to apply to the Court for attorneys’ fees incurred in investigating and litigating this Action, as well as for costs and expenses incurred in the Action, in an amount not to exceed thirty percent (30%) of the Cash Settlement Amount.

  • The motions for Class Representative Service Awards and Fee & Expense Award in the California Action shall encompass and resolve the claims of the Minnesota Plaintiffs for class representative incentive awards, and for the Minnesota Plaintiffs’ counsel’s attorneys’ fees and expense reimbursement.

  • The Net Settlement Fund means the $5,000,000 Cash Settlement Amount minus Class Representative Service Awards and Fee & Expense Award.

  • No Party may terminate the Settlement because of (1) any intervening change in law impacting the claims alleged in the Action, or (2) the amount of the Fee & Expense Award awarded to Class Counsel or of any Service Awards awarded to Plaintiffs.

  • None of the following are conditions of the Settlement: (a) Court approval of the Service Award, (b) Court approval of the Fee & Expense Award, (c) Court approval of the proposed Plan of Allocation or (d) Court certification of a Class under Rule 23(b)(2) rather than Rule 23(b)(3).

  • Payment of the Fee & Expense Award shall be made from the Settlement Fund by wire transfer to Xxxxxx Xxxxxx Xxxxx Xxxxxxx LLP, in accordance with wire instructions to be provided by Xxxxxx Xxxxxx Xxxxx Xxxxxxx LLP, and completion of necessary forms, including but not limited to W-9 forms.

  • The Cash Settlement Amount encompasses all cash compensation to the Class Members, inclusive of the Fee & Expense Award and any other attorneys’ fees and costs; the Service Awards; and all Administrative Costs.


More Definitions of Fee & Expense Award

Fee & Expense Award means an award entered by the Court granting Settlement Class Counsel’s motion for award of attorneys’ fees and reimbursement of reasonable costs and expenses incurred in connection with this Action.
Fee & Expense Award means the amount of an award to which Class Counsel shall be entitled to apply to the Court for attorneys’ fees incurred in investigating and litigating this Action, as well as for costs and expenses incurred in the Action, in an amount not to exceed twenty-seven and one-half percent (27.5%) of the Settlement Amount.

  • Performance Cash Award means an award of cash granted pursuant to the terms and conditions of Section 6(c)(ii).

  • Fee Award means the amount of attorneys’ fees and reimbursement of costs and expenses awarded by the Court to Class Counsel.

  • Performance Cash means any cash incentives granted pursuant to Article 9 payable to the Participant upon the achievement of such performance goals as the Committee shall establish.

  • Eligible Expense means the lesser of the reasonable, customary, usual, fair market value charge for a covered service or the provider's actual charge.

  • Performance Award means any right granted under Section 6(d) of the Plan.

  • Performance Compensation Award means any Award designated by the Committee as a Performance Compensation Award pursuant to Section 11 of the Plan.

  • Incentive Award means the right to receive a cash payment to the extent Performance Goals are achieved, and shall include “Annual Incentive Awards” as described in Section 10 and “Long-Term Incentive Awards” as described in Section 11.

  • Cash Award means an award denominated in cash.

  • Non-Cash Compensation Expense means any non-cash expenses and costs that result from the issuance of stock-based awards, partnership interest-based awards and similar incentive based compensation awards or arrangements.

  • Annual Bonus shall have the meaning set forth in Section 4(b) hereof.

  • Incentive Bonus means a bonus opportunity awarded under Section 9 pursuant to which a Participant may become entitled to receive an amount based on satisfaction of such performance criteria as are specified in the Award Agreement.

  • Final Award means, in the context of this Request for Proposals and all its attendant documents, that point at which the final required signature on the contract(s) resulting from the procurement has been affixed to the contract(s) thus making it fully executed.

  • Performance Award Agreement means a written agreement between the Company and a Participant with respect to a Performance Award.

  • Annual Incentive Award means an Award made subject to attainment of performance goals (as described in Section 14) over a performance period of up to one year (the Company’s fiscal year, unless otherwise specified by the Committee).
