Borrower covenants and agrees that if the Borrower makes any General Partner Incentive Management Fee payments to the General Partner, any such payments paid from Residual Receipts funds shall be paid solely from Borrower’s retained Residual Receipts, pursuant to the disbursement of such Residual Receipts to the Borrower under Section 2.05(b)(1) above.
In addition to the Base Management Fee, CDT shall be enti- tled to earn an Incentive Management Fee for each full Calendar Year during the Term.
The Incentive Management Fee for a Fiscal Year shall be calculated based upon the amounts set forth in the audited Annual Financial Statement for such Fiscal Year and due and payable to Manager no later than March 15 of the succeeding Fiscal Year.
