Filed Company SEC Documents definition

Filed Company SEC Documents means all Company SEC Documents that were filed and publicly available prior to the date of this Agreement.

Filed Company SEC Documents has the meaning set forth in Article IV.

Filed Company SEC Documents shall have the meaning set forth in the Article III Preamble.

Examples of Filed Company SEC Documents in a sentence

• From the date of the most recent financial statements included in the Filed Company SEC Documents through the date hereof, there has not been any adoption, material amendment or termination by the Company or any of its Subsidiaries of any collective bargaining or other labor union Contract to which the Company or any of its Subsidiaries is a party or by which the Company or any of its Subsidiaries is bound.

• Without limiting the foregoing, except as disclosed in the Filed Company SEC Documents, since the Balance Sheet Date there has not occurred any damage, destruction or loss (whether or not covered by insurance) of any material asset of the Company or any of its Subsidiaries which materially affects the use thereof.

• As of the date hereof, there are no outstanding or unresolved comments received by the Company from the SEC with respect to any of the Filed Company SEC Documents and, to the Knowledge of the Company, none of the Filed Company SEC Documents is the subject of ongoing SEC review or investigation.

• The Company has made all certifications and statements required by Sections 302 and 906 of the Xxxxxxxx-Xxxxx Act with respect to the Filed Company SEC Documents.

• True and complete copies of the Company’s Organizational Documents as in effect on the date of this Agreement are included in the Filed Company SEC Documents.

More Definitions of Filed Company SEC Documents

Filed Company SEC Documents means the Company SEC Documents filed at least two (2) Business Days prior to the date hereof.

Filed Company SEC Documents. (but excluding in the case of this clause (i) any risk factor disclosure under the headings “Risk Factors” or “Special Note Regarding Forward-Looking Statements” or other similar cautionary, predictive or forward-looking disclosures contained in such Filed Company SEC Documents; provided that any factual information contained within such disclosure shall not be excluded) or (ii) set forth in the letter, dated as of the Agreement Date, from the Company to Parent and Merger Sub (which shall be arranged in numbered and lettered sections corresponding to the numbered and lettered sections contained in this Article IV, and the disclosure in any section shall be deemed to qualify or apply to other sections in this Article IV to the extent that it is reasonably apparent on its face that such disclosure also qualifies or applies to such other sections) (the “Company Disclosure Letter”), the Company represents and warrants to Parent and Merger Sub as follows:

Filed Company SEC Documents shall have the meaning ascribed to such term in Section 5.9.

Filed Company SEC Documents means all Company SEC Documents that were filed and publicly available on or after January 1, 2013 and prior to the date of this Agreement.

Filed Company SEC Documents means: (i) the Company’s annual report on Form 10-K for the year ended December 31, 2014, as filed with the SEC and as thereafter amended by the filing of Form 10-KA and (ii) the Company’s quarterly report on Form 10-Q for the quarter ended June 30, 2015, as filed with the SEC.

Filed Company SEC Documents is defined in Section 3.01(i).

Filed Company SEC Documents has the meaning set forth in Section 4.01(g)(ii).
