First Amendment to Participation Agreement definition

First Amendment to Participation Agreement means, with respect to each Funded Aircraft, the First Amendment to Participation Agreement in substantially the form of Exhibit D hereto, dated as of the Class B Issuance Date, among the Company, the Loan Trustee, the Subordination Agent, the Pass Through Trustees and WTC, listed on Schedule IV to the Note Purchase Agreement relating to such Funded Aircraft.
