Ford Entities means Ford and Subsidiaries of Ford (other than Subsidiaries that constitute Hertz Entities), and "Ford Entity" shall mean any of the Ford Entities.

  • The Class B Common Stock Option may be exercised by Ford (or any Ford Entity to which all or any part of the Class B Common Stock Option has been assigned) for a number of shares equal to or less than the number of shares that are necessary for the Ford Entities to maintain, in the aggregate, the percentage of the then-outstanding shares of Common Stock of Hertz that is equal to the then-current Ownership Percentage.

  • Ford/ACH, and the Other Ford Entities agree not to file any Proofs of Claim for rejection damages and release and discharge the Debtors from claims resulting from the rejected Purchase Orders and agreements.

  • Except for Proof of Claim 2812 (ABL Claim), which is Allowed under the Plan in the amount of $127.15 million, all Proofs of Claim submitted by Ford, ACH, or Other Ford Entities in the Chapter 11 Cases will be deemed expunged on the Settlement Effective Date without any further action of the Debtors or Reorganized Debtors and without any further action, order, or approval of the Bankruptcy Court.

  • On the Settlement Effective Date, all Commercial Claims will be released by the claimants (Visteon, Ford, ACH, and/or Other Ford Entities, as applicable) and fully discharged.

  • Related Entities means contractors and subcontractors of a Party at any tier; grantees, investigators, customers, and users of a Party at any tier and their contractors or subcontractor at any tier; or, employees of the Party or any of the foregoing.

  • Operating Partnership has the meaning set forth in the preamble.

  • Released Entities means released entities as such term is defined

  • Holding Entities means the subsidiaries of the Infrastructure Partnership, from time to time, through which it indirectly holds all of the Partnership’s interests in the operating entities.

  • Parent means a “parent corporation,” whether now or hereafter existing, as defined in Section 424(e) of the Code.

  • Operating Company means an “operating company” within the meaning of 29 C.F.R. §2510.3-101(c) of the Plan Asset Regulations.

  • Founding Companies has the meaning set forth in the third recital of this Agreement.

  • Seller Entities means, collectively, Seller and all Seller Subsidiaries.

  • Partnership Parties has the meaning assigned to such term in the preamble.

  • Parent Entities means, collectively, Parent and all Parent Subsidiaries.

  • Company Entities means the Company and the Company Subsidiaries.

  • Affiliated Entities means any legal entity, including any corporation, limited liability company, partnership, not-for-profit corporation, estate planning vehicle or trust, which is directly or indirectly owned or controlled by the Stockholder or his or her descendants or spouse, of which such Stockholder or his or her descendants or spouse are beneficial owners, or which is under joint control or ownership with any other person or entity subject to a lock-up agreement regarding the Common Stock with terms substantially identical to this Agreement.

  • Entities means event and competition organisers/promoters/managers, land and track owners/managers/administrators/lessees, CAMS affiliated clubs, state and territory governments and insured listed in CAMS’ public/product/professional indemnity insurance policies and each of their related bodies corporate (including their related bodies corporate) and each of their organs and agencies, officers/president/directors/executives, employees, servants, agents, partners, providers, members, competitors, drivers, co-drivers, navigators, officials, crew members, pit crew, delegates, licence holders, representatives, commissions, committees, advisers, trustees, councils, panels, shareholders, volunteers, officials, appointees, delegated bodies and sponsors.

  • Partnership Entities means the General Partner and each member of the Partnership Group.

  • Operating Companies shall have the meaning specified in the recitals to this Agreement.

  • Transferred Entities means the entities set forth on Schedule 1.5.

  • MCH means the Maternal and Child Health Service provided by a council to support the health and development of children within the municipality from birth until school age

  • Buyer Entities means, collectively, Buyer and all Buyer Subsidiaries.

  • Parent Related Parties means each of Parent, Merger Sub, any of their respective former, current or future equityholders, controlling Persons, limited or general partners, managers, members, Affiliates, directors, officers, employees, agents, attorneys, stockholders, assignees or Representatives.

  • Seller Parties has the meaning set forth in the preamble to this Agreement.

  • Subsidiaries means any corporation or other organization, whether incorporated or unincorporated, in which the Company owns, directly or indirectly, any equity or other ownership interest.

  • Excluded Entities has the meaning set forth in Section 2.2(b)(iv).

  • Operating Entities means, from time to time, the Persons in which the Holding Entities, directly or indirectly, hold interests and that (i) directly hold real estate assets, or (ii) indirectly hold real estate assets but all of the interests of which are not held, directly or indirectly, by the Holding Entities, other than, in the case of each of (i) and (ii), any Person in which the Holding Entities, directly or indirectly, hold interests for investment purposes only of less than 5% of the outstanding equity securities of that Person;

  • Parent Subsidiaries means the Subsidiaries of Parent.

  • Parent Group has the meaning set forth in Section 8.03(c).
