Free Excess Cash Flow definition

Free Excess Cash Flow means, as of any date of determination during a Cash Sweep Period, all Excess Cash Flow that is (x) in an amount greater than the Excess Cash Flow Deposit Cap or (y) guaranteed pursuant to the Excess Cash Flow Guaranty.
Free Excess Cash Flow shall have the meaning assigned to such term in Section 2.10(j).
Free Excess Cash Flow for any fiscal year of the Borrower, the aggregate amount of Excess Cash Flow for all prior fiscal years (or, in the case of the fiscal year ending December 31, 2003, for the period commencing on the Closing Date and ending on December 31, 2003) of the Borrower not required to be used to prepay the Term Loans and reduce Revolving Commitments in accordance with Section 2.11(d), provided that the aggregate amount of Excess Cash Flow that shall be included in Free Excess Cash Flow shall in no event exceed $30,000,000 and provided, further, that the amount of Free Excess Cash Flow available at any time shall be reduced by the aggregate amount thereof theretofore used for expenditures that would constitute Capital Expenditures but for clause (v) of the definition of Capital Expenditures or Investments pursuant to Section 7.8(m)(ii).

Free Excess Cash Flow means for a particular period, EBITDA for such period minus the sum of the following for such period: (i) interest plus (ii) scheduled principal payments plus (iii) unfunded capital expenditures in excess of $750,000 in any fiscal year plus (or minus) (iv) the change in working capital.
Free Excess Cash Flow at any time, (a) 25% of the aggregate amount of Excess Cash Flow of the Borrower and its Subsidiaries during the period commencing on the Closing Date and ending on the last day of the then most recently completed fiscal year for which the Borrower shall have delivered audited financial statements pursuant to subsection 8.1(a) minus (b) the sum of (i) the aggregate amount of Restricted Payments theretofore made pursuant to Section 9.8 and (ii) the aggregate amount of such Excess Cash Flow which shall theretofore have been utilized for the purposes described in subsections 9.9(i)(b), 9.10(d) and 9.10(f). For the purposes of determining at any time whether any Free Excess Cash Flow shall have theretofore been utilized to make any capital expenditures permitted under subsection 9.9, capital expenditures during any fiscal year of the Borrower shall be assumed to have been made from the sources described in clauses (i)(a) and (i)(b) of such subsection in the designated alphabetical order of such clauses.

  • Quarterly Excess Available Funds Percentage means, with respect to the March 2008 Transfer Date and each Transfer Date thereafter, the percentage equivalent of a fraction the numerator of which is the sum of the Excess Available Funds Percentages with respect to the immediately preceding three Monthly Periods and the denominator of which is three.
