Freely Tradable Securities definition

Freely Tradable Securities means securities of an issuer having an aggregate market capitalization of at least $500,000,000 which are immediately tradable by WPCC or any of its affiliates upon receipt thereof;
Freely Tradable Securities means securities listed on the New York Stock Exchange or eligible for trading on the Nasdaq National Market, and which are not subject to restriction on transferability, whether pursuant to Rule 144, Rule 145, other provisions under the Securities Act of 1933, as amended, any contractual restriction or otherwise.
Freely Tradable Securities means securities that have been offered and sold in a transaction registered under the Securities Act or may be re-sold without restriction under Rule 144 under the Securities Act.

  • In any event, the consideration to be paid by such Third Party Purchaser shall consist only of cash and Freely Tradable Securities, and to the extent such consideration consists of Freely Tradable Securities, the fair market value of such consideration shall be the average closing price of such Freely Tradable Securities on the last three trading days before the consummation of the Stock Sale to the Third Party Purchaser.

More Definitions of Freely Tradable Securities

Freely Tradable Securities has the meaning set forth in Section 4.1(a). “Frozen Carried Interest” has the meaning set forth in Section 9.5(c).
Freely Tradable Securities means any securities that are (A) (x) listed for trading on a recognized United States or non-United States national or regional securities exchange or (y) reported through any recognized United States or non-United States automated quotation system and (B) not subject to restrictions on transfer as a result of contractual provisions (excluding restrictions resulting from any indemnity escrow arrangement or similar restriction thereon). For purposes of this Agreement. the value of Freely Tradable Securities shall be deemed to be the average of the closing prices of such securities on the securities exchange or quotation system on which they are primarily traded over the twenty (20) trading days preceding the Put Sale Event. In the event that the Company has not delivered a written notice to any Holder regarding the occurrence of any of the events described in Sections 8(a)(i) or 8(a)(ii) within five Business Days after the occurrence of any such event, then the Put Exercise Period for such Holder shall be automatically extended by the number of days equal to the difference between (x) such fifth Business Day and (y) the date on which the Company delivered such written notice to such Holder (or, in connection with a Qualified Put Sale Event (as defined below), the earlier of such date and the date on which such Holder received any of the Transaction Proceeds (as defined below) with respect thereto). The delivery by a Holder during the Put Exercise Period (as so extended, if applicable) of a Put Election Notice pursuant to this Section 8 shall be deemed to constitute a valid, legally binding and enforceable agreement for the sale by the Holder and purchase by the Company of all of such Holder’s Put Shares (or such lesser number of Put Shares if so specified in such Put Election Notice), at a purchase price per share equal to the Repurchase Price (as defined below).
Freely Tradable Securities means stock or other securities that (i) can be immediately sold to the general public without the necessity of any U.S. Federal, state or local government consent, approval or filing, (ii) is either listed on a generally recognized U.S. securities exchange or carried on the NASDAQ system or similar system and market quotations are readily available therefore and (iii) is not subject to any lockup or contractual restriction on the sale or transfer thereof.
Freely Tradable Securities means any of the following: (i) securities that are not "restricted securities" within the meaning of Rule 144 under the Securities Act; (ii) restricted securities that may be immediately sold pursuant to Rule 144 (without regard to the volume limitations contained in Rule 144); and (iii) restricted securities that are included in an effective registration statement filed pursuant to the Securities Act.

Freely Tradable Securities means equity interests of HHNEC that are listed for trading or quotation on any national stock market or quotation system or any international stock market or quotation system and for which a reasonably liquid market for trading exists and, upon acquisition by the Stockholders’ Representative, will not be, subject to (1) any contractual restrictions on transfer or (2) restrictions on transfer imposed by applicable Legal Requirements or stock exchange rule.
Freely Tradable Securities means Investments that (i) are listed or quoted on a national or international securities exchange or quoted on any national or international automated inter-dealer quotation system, (ii) the General Partner reasonably believes are eligible for immediate sale by the distributee (other than the General Partner or its partners, members or affiliates and, in making such determination, the General Partner may assume, whether or not true, that the distributee is not an affiliate of the issuer of such securities and that there are no facts or circumstances particular to the distributee that are not applicable to the distributees generally that otherwise impose a legal restriction on such distributee resulting in such securities being ineligible for immediate sale) at the time of distribution from the Partnership, e.g., pursuant to a registration statement effective under the Securities Act, or pursuant to Rule 144 of the Securities Act or any other similar provision under the Securities Act then in force, and (iii) are not subject to any contractual restrictions on transfer.
