FTX Guaranty definition

FTX Guaranty means the partial guarantee of the Obligations by FTX pursuant to that certain FTX Guaranty Agreement by FTX in favor of the Agent and others, dated as of June 30, 1995.
FTX Guaranty means the FTX Guaranty Agreement dated as of July 17, 1995, providing for the guarantee by FTX of the Loans, the Pel-Tex Debt and the loans under the TCB Credit Agreement, substantially in the form of Exhibit K hereto, as such agreement may be amended and in effect from time to time.
FTX Guaranty means the guarantee of FTX as set forth in the FTX Guaranty Agreement dated as of July 17, 1995 by FTX.

Examples of FTX Guaranty in a sentence

  • Nothing in this Section 2.18 shall be deemed in any way to derogate from or affect FTX's own direct obligations under this Agreement (including Section 7.1), the FTX Guaranty or the other Loan Documents.

  • FTX has the power to execute, deliver and perform its obligations under this Agreement, the FM Intercreditor Agreement, the FTX Guaranty, the FTX Security Agreement and any other Loan Document executed and delivered or to be executed and delivered by it at any time, to guarantee the Loans pursuant to the FTX Guaranty and to countersign and accept the terms of the FTX Intercreditor Agreement.

  • Pursuant to the FTX Guaranty and the FCX Guaranty, FTX and FCX taken together, guarantee the full repayment of principal and interest on the Notes.

  • Notwithstanding anything herein to the contrary other than the second to last sentence of this Section 2.03, so long as no Guarantor Default has occurred and is continuing, no demand shall be made on FCX hereunder until three business days after demand for payment has been made under the FTX Guaranty with respect to an amount payable under the FTX Basic Guaranty and FTX has failed to make such payment.

  • The FTX Guaranty Agreement guarantees the principal and interest on the Notes which are secured as more fully described therein.

  • No consent or authorization of, filing with, or other act by or in respect of any governmental authority is required in connection with the Obligations thereunder or with the execution and delivery, performance, validity or enforceability of this Agreement or the FTX Guaranty.

  • The Prior Guaranty was amended and restated to limit the Prior Guaranty (as amended and restated) to all obligations of the Borrower other than principal and interest on the Notes, and in exchange therefor, the Guarantor executed the FTX Guaranty Agreement, dated as of July 17, 1995, and the FTX Security Agreement.

  • Neither FM Properties, FTX nor FCX is in default under or with respect to any Contractual Obligation in any respect that could be material and adverse to the business, operations, property or financial or other condition of FM Properties, FTX or FCX or that could materially adverse affect the ability of FM Properties, FTX or FCX to perform its obligations under this Agreement, the Notes, the FTX Guaranty or the FCX Guaranty.

FTX Guaranty means the Amended and Restated FTX Guaranty Agreement described in clause (ii) of the definition of the term Guaranty Agreements.

Related to FTX Guaranty

  • Guaranty Agreement means an agreement executed by the Guarantors in substantially the form of Exhibit F-2 unconditionally guarantying on a joint and several basis, payment of the Indebtedness, as the same may be amended, modified or supplemented from time to time.

  • Holdings Guaranty means the Holdings Guaranty made by Holdings in favor of the Administrative Agent on behalf of the Secured Parties, substantially in the form of Exhibit F.

  • U.S. Guaranty means the guarantee of the Obligations of each Loan Party hereunder by the U.S. Loan Parties in Article III hereunder or in a supplemental guarantee in accordance with Section 7.01(n) of this Agreement.

  • Guaranty means, with respect to any Person, any obligation (except the endorsement in the ordinary course of business of negotiable instruments for deposit or collection) of such Person guaranteeing or in effect guaranteeing any indebtedness, dividend or other obligation of any other Person in any manner, whether directly or indirectly, including (without limitation) obligations incurred through an agreement, contingent or otherwise, by such Person:

  • Subsidiary Guaranty is defined in Section 9.7(a).

  • Subsidiary Guaranty Agreement means each unconditional guaranty agreement executed by the Subsidiary Guarantors in favor of the Administrative Agent for the ratable benefit of the Secured Parties, substantially in the form of Exhibit H, as amended, restated, supplemented or otherwise modified from time to time.

  • VA Loan Guaranty Agreement means the obligation of the United States to pay a specific percentage of a Mortgage Loan (subject to a maximum amount) upon default of the Mortgagor pursuant to the Servicemen’s Readjustment Act, as amended.

  • Parent Guaranty means the guaranty of the Parent pursuant to Section 15.

  • Foreign Guaranty means a Corporate Guaranty provided by an Affiliate of a Participant that is domiciled in a foreign country, and meets all of the provisions of Tariff, Attachment Q. “Form 715 Planning Criteria” shall have the same meaning provided in the Operating Agreement.

  • Seller Guaranty means a guaranty of payment and performance issued by a Seller Guarantor in the form attached to this Agreement as Exhibit V or in such other form as may be acceptable to Purchaser acting reasonably.

  • Canadian Guaranty means a Corporate Guaranty provided by an Affiliate of a Participant that is domiciled in Canada, and meets all of the provisions of Tariff, Attachment Q.

  • Limited Guaranty With respect to any Series (or Class within such Series), any guarantee of, or insurance policy or other comparable form of credit enhancement with respect to, amounts required to be distributed in respect of such Series (or Class) or payments under all or certain of the Underlying Securities relating to such Series or Class, executed and delivered by a Limited Guarantor in favor of the Trustee, for the benefit of the Certificateholders, as specified in the related Supplement.

  • Obligation Guaranty means any Guarantee of all or any portion of the Secured Obligations executed and delivered to the Administrative Agent for the benefit of the Secured Parties by a guarantor who is not a Loan Party.

  • Guaranty Agreements means and includes the Guarantee of the Loan Parties provided for in Section 11, and any other guaranty agreement executed and delivered in order to guarantee the Obligations or any part thereof in form and substance reasonably acceptable to the Administrative Agent.

  • Company Guaranty means the Company Guaranty made by the Company in favor of the Administrative Agent and the Lenders, substantially in the form of Exhibit F.

  • Payment Guaranty means, if applicable, that certain Guaranty (Payment) of even date herewith executed by Guarantor to and for the benefit of Lender, as the same may be amended, restated, replaced, supplemented or otherwise modified from time to time.

  • Subsidiaries Guaranty shall have the meaning provided in Section 6.10.

  • Guaranty Joinder Agreement means each Guaranty Joinder Agreement, substantially in the form thereof attached to the Guaranty, executed and delivered by a Guarantor or any other Person to the Administrative Agent pursuant to Section 6.12 or otherwise.

  • Corporate Guaranty means a legal document used by an entity to guaranty the obligations of another entity.

  • Completion Guaranty means the Guaranty of Completion and Payment of even date herewith from Indemnitor for the benefit of Lender, as amended from time to time.

  • Loan Guaranty means Article X of this Agreement.

  • Guaranty and Collateral Agreement means the Guaranty and Collateral Agreement dated as of the date hereof executed and delivered by the Loan Parties, together with any joinders thereto and any other guaranty and collateral agreement executed by a Loan Party, in each case in form and substance satisfactory to the Administrative Agent.

  • Subsidiary Guarantee Agreement means the Subsidiary Guarantee Agreement, substantially in the form of Exhibit D, made by the Subsidiary Loan Parties in favor of the Administrative Agent for the benefit of the Lenders.

  • Subsidiary Guaranties means the Domestic Subsidiary Guaranty and each Foreign Subsidiary Guaranty.
