Fully Invested definition

Fully Invested means the point at which an Investor’s Subscription Surplus is less than 10% of his Subscription;

Fully Invested. With respect to the First Offer Period as defined in this Agreement, at least ninety percent (90%) of the net offering proceeds of CWI’s initial public offering or a Follow-On Offering, as applicable, are invested or committed for investment.

Fully Invested occurs, with respect to the Company, when each of the following two conditions has been satisfied: (i) the Company has called not less than 75% of the Capital Contributions that the Unit Holders are required to make pursuant to their Capital Contribution Commitments and (ii) the Company has terminated the Offering because it does not intend to offer any more Units pursuant to Section 3.3.

More Definitions of Fully Invested

Fully Invested means that the Company has invested at least 85% of the net proceeds received by the Company from the sale of the Common Stock on the Closing Date (net of the Company’s organizational and offering expenses and Operating Expenses, including Management Fees, paid by the Company).

Fully Invested. ’ means that the Company had, by 5 April 2012, entered into commitments to invest all the proceeds of the IPO (save for amounts retained for working capital and liquidity purposes). Not all such commitments had, by that date, settled and as a result the Company was not, at that date, entitled to interest payments in respect of all such investments.

Fully Invested means that at least ninety percent (90%) of the net offering proceeds of CWI 2's initial public offering or a Follow On Offering, as applicable, are invested or committed for investment.

Fully Invested means, for these purposes, that a total of £300 million, including borrowings (i.e., the maximum size of the Group's Investment Portfolio) is assumed as being invested or committed for investment in Portfolio Interests. It does not relate to the actual sum invested or committed for investment by the Group. If the Group does not in fact invest £300 million, it will be under no obligation to adjust the Investment Portfolio unless otherwise required by the Listing Rules or to qualify as a REIT Group.

Fully Invested has the meaning specified in Section 3.8.

Fully Invested means, with respect to any Investment Partnership, the point at which such Investment Partnership has invested the Investment Partnership's maximum Capital Commitment.

Fully Invested means the point at which the Partnership has invested the Partnership's maximum Capital Commitment less amounts expended or reserved for the Minimum Monthly Management Fee and other Partnership Expenses.
