Game Shares Asset definition

Game Shares Asset means, as of any date, with respect to any series of Preferred Stock, unless otherwise specified in the corresponding Preferred Stock Designation, (i) the Underlying Assets; (ii) the subsidiary of the Corporation associated with such Underlying Assets in such Preferred Stock Designation; (iii) all other assets, liabilities and businesses of the Corporation or any of its subsidiaries to the extent attributed to such Underlying Assets as of such date; (iv) all assets, liabilities and businesses acquired or assumed by the Corporation for the account of such Underlying Assets, or contributed, allocated or transferred to such Game Shares Asset (including the net proceeds of any issuances, sales or incurrences for the account of such Game Shares Asset, or indebtedness of the Corporation attributed to the Game Shares Asset), in each case, after the date hereof and as determined by the Board of Directors; and (v) the proceeds of any disposition of any of the foregoing.

  • Set forth below is a table of all of games licensed for publication, identifying for each game its developer, crowdfunding campaign completion date, associated Fig Game Shares (or other securities) and associated Game Shares Asset.

  • Purchased Units means, with respect to a particular Purchaser, the number of Common Units equal to the aggregate Purchase Price set forth opposite such Purchaser’s name under the column titled “Purchase Price” set forth on Schedule A hereto divided by the Common Unit Price.

  • Purchaser Stock Price means, with respect to any Common Stock Fundamental Change, the average of the daily Closing Price for one share of the common stock received by holders of the Common Stock in such Common Stock Fundamental Change during the 10 Trading Days immediately prior to the date fixed for the determination of the holders of the Common Stock entitled to receive such common stock or, if there is no such date, prior to the date upon which the holders of the Common Stock shall have the right to receive such common stock.

  • Purchase Shares has the meaning set forth in Section 2.1.

  • Transferred Shares means all or any portion of a Member’s Shares that the Member seeks to Transfer.

  • Membership Interests has the meaning set forth in the recitals.
