RSUs means that number of Restricted Stock Units listed in the Award Notice as “Restricted Stock Units Granted.”
DSUs means the outstanding deferred share units issued under the DSU Plan.
Company RSUs means any restricted stock units granted under any of the Company Equity Plans.
PSUs means the outstanding performance share units governed by the performance share unit plan of the Company dated December 16, 2013, as amended from time to time;
Performance Shares means Shares or an Award denominated in Shares which may be earned in whole or in part upon attainment of performance criteria established by the Administrator.
Restricted Share Units means an Award which may be earned in whole or in part upon the passage of time or the attainment of performance criteria established by the Administrator and which may be settled for cash, Shares or other securities or a combination of cash, Shares or other securities as established by the Administrator.
Award Shares means Shares covered by an outstanding Award or purchased under an Award.
RSU Award or “RSU” means an Award of restricted stock units representing the right to receive an issuance of shares of Common Stock which is granted pursuant to the terms and conditions of Section 5(a).
Dividend Shares means the shares of Common Stock issuable in payment of dividends payable on the Preferred Shares in accordance with the terms of the Certificate of Designation.
Restricted Stock Units means an Award of stock units subject to such restrictions and conditions as the Administrator may determine at the time of grant.
Restricted Shares shall have the respective meanings set forth in Section 2.14.
Deferred Shares means an award made pursuant to Section 7 of this Plan of the right to receive Common Shares at the end of a specified Deferral Period.
Common Shares means the common shares in the capital of the Company;
Share Units means the hypothetical Shares that are credited to the Share Unit Accounts in accordance with Article 7.
Stock Units means investment units under the Deferred Delivery Plan, each of which is deemed to be equivalent to one share of Stock.
Founders’ Common Stock means all of the shares of Common Stock of the Company acquired by an Insider prior to the IPO for a price of approximately $0.005875 per share;
Company RSU Award means each restricted stock unit that is (i) subject solely to service-based vesting and (ii) payable in shares of Company Class A Common Stock or the value of which is determined with reference to the value of shares of Company Class A Common Stock.
Newco has the meaning set forth in the first paragraph of this Agreement.
Company Share Plans mean (a) the Company’s Stock Related Award Incentive Plan of 1999, as amended; (b) the Company’s 2010 Stock Incentive Plan, as amended; and (c) the Company’s 2015 Stock Incentive Plan, as amended;
SpinCo Shares means the shares of common stock, par value $0.01 per share, of SpinCo.
Deferred Stock Units means the number of hypothetical Shares subject to an Election.
Employee Share Scheme means collectively a Share Issuance Scheme and a Share Grant Scheme.
Units means the units of the Company, each comprised of one share of Common Stock and one-half of one Warrant.
Performance Share Units means Performance Share Units granted to an Eligible Individual under Section 9.1(b).
Parent Stock Plans has the meaning set forth in Section 4.5(a).
Restricted Share Unit Award means an award of Restricted Share Units under this Plan.
