General Intangibles Mortgage definition

General Intangibles Mortgage means the General Intangibles Mortgage and Security Agreement dated as of the Closing Date given by the Borrower and the Guarantors to the Agent covering substantially all of the intangible personal property owned by the Borrower and the Guarantors, in form and substance satisfactory to the Agent and the Lenders, as amended, supplemented or otherwise modified from time to time.
General Intangibles Mortgage means collectively, those certain General Intangibles Mortgage and Security Agreements dated as of March 31, 2000, executed by the Borrower, Mega Marts, Inc. and Xxxx Lad Foods, Inc. in favor of the Agent, for the ratable benefit of the Lenders, and that certain General Intangibles Mortgage and Security Agreement dated as of the Closing Date by Xxxxx in favor of the Agent, for the ratable benefit of the Lenders, in each case, as the same may be amended or modified and in effect from time to time.

"Electronic document of title" means a document of title evidenced by a record consisting of information stored in an electronic medium. "Tangible document of title" means a document of title evidenced by a record consisting of information that is inscribed on a tangible medium.

  • Security Agreement Collateral means all "Collateral" as defined in the Security Agreement.

  • Negotiable Collateral means all of Borrower’s present and future letters of credit of which it is a beneficiary, drafts, instruments (including promissory notes), securities, documents of title, and chattel paper, and Borrower’s Books relating to any of the foregoing.

  • Supporting Obligation means a letter-of-credit right or secondary obligation that supports the payment or performance of an account, chattel paper, a document, a general intangible, an instrument, or investment property.

  • Pledged Investment Property means any investment property of any Grantor, and any distribution of property made on, in respect of or in exchange for the foregoing from time to time, other than any Pledged Stock or Pledged Debt Instruments.

  • Purchase Agreement Collateral has the meaning specified in Section 6.9 of this Agreement.

  • Contract Rights means all rights of any Assignor under each Contract, including, without limitation, (i) any and all rights to receive and demand payments under any or all Contracts, (ii) any and all rights to receive and compel performance under any or all Contracts and (iii) any and all other rights, interests and claims now existing or in the future arising in connection with any or all Contracts.

  • Pledge Agreement Collateral means all "Collateral" as defined in the Pledge Agreement.

  • Investment Property Control Agreement means an agreement in writing, in form and substance satisfactory to Agent, by and among Agent, any Borrower or Guarantor (as the case may be) and any securities intermediary, commodity intermediary or other person who has custody, control or possession of any investment property of such Borrower or Guarantor acknowledging that such securities intermediary, commodity intermediary or other person has custody, control or possession of such investment property on behalf of Agent, that it will comply with entitlement orders originated by Agent with respect to such investment property, or other instructions of Agent, or (as the case may be) apply any value distributed on account of any commodity contract as directed by Agent, in each case, without the further consent of such Borrower or Guarantor and including such other terms and conditions as Agent may require.

  • Documents of Title Has the meaning given that term in the UCC.

  • Material Asset means any asset which has a book value of RMB100,000 or more or has a material effect on the business operations of any Party.
