Global Dollar Notes definition

Global Dollar Notes means the Rule 144A Global Dollar Notes and the Regulation S Global Dollar Notes. The term “Global Euro Notes” means, collectively, the Rule 144A Global Euro Notes and the Regulation S Global Euro Notes. The term “Global Notes” means, collectively, the Rule 144A Global Notes and the Regulation S Global Notes. The Global Notes shall bear the Global Note Legend. The Global Dollar Notes initially shall (i) be registered in the name of the Depository or the nominee of such Depository, in each case for credit to an account of an Agent Member, (ii) be delivered to the Trustee as custodian for such Depository and (iii) bear the Restricted Notes Legend. The Global Euro Notes initially shall (i) be registered in the name of the Common Depository or the nominee of such Common Depository, in each case for credit to an account of an Agent Member, (ii) be delivered to the Euro Paying Agent as custodian for such Common Depository and (iii) bear the Restricted Notes Legend. Members of, or direct or indirect participants in, the Depository, Euroclear or Clearstream (“Agent Members”) shall have no rights under this Indenture with respect to any Global Note held on their behalf by the Depository or the Common Depository, or the Trustee as its custodian, or under the Global Notes. The Depository may be treated by the Company, the Trustee and any agent of the Company or the Trustee as the absolute owner of the Global Dollar Notes for all purposes whatsoever. The Common Depository may be treated by the Company, the Trustee and any agent of the Company or the Trustee as the absolute owner of the Global Euro Notes for all purposes whatsoever. Notwithstanding the foregoing, nothing herein shall prevent the Company, the Trustee or any agent of the Company or the Trustee from giving effect to any written certification, proxy or other authorization furnished by the Depository or the Common Depository, as the case may be, or impair, as between the Depository, Euroclear or Clearstream, as the case may be, and their respective Agent Members, the operation of customary practices governing the exercise of the rights of a Holder of any Note.

Examples of Global Dollar Notes in a sentence

  • The transfer and exchange of beneficial interests in the Global Dollar Notes shall be effected through the Depository, in accordance with the provisions of this Indenture and the applicable rules and procedures of the Depository.

  • Beneficial interests in Global Dollar Notes shall be transferred or exchanged only for beneficial interests in Global Dollar Notes.

  • Rule 144A Notes that are Euro Notes initially shall be represented by one or more Notes in definitive, fully registered, global form without interest coupons (collectively, the “Rule 144A Global Euro Notes” and, together with the Rule 144A Global Dollar Notes, the “Rule 144A Global Notes”).

  • Definitive Dollar Notes shall be transferred or exchanged only for beneficial interests in Global Dollar Notes.

  • In any case, beneficial interests in Global Dollar Notes shall be transferred or exchanged only for Definitive Dollar Notes and beneficial interests in Global Euro Notes shall be transferred or exchanged only for Definitive Euro Notes.

  • The Issuer initially appoints DTC to act as depositary with respect to the Global Dollar Notes and Euroclear and Clearstream to act as depositary with respect to the Euro Notes.

  • Deutsche Bank Trust Company Americas will act as Custodian with respect to the Global Dollar Notes and Deutsche Bank AG, London Branch is the Common Depositary for the Global Euro Notes on behalf of Euroclear and Clearstream.

  • The Global Dollar Notes are in bearer form, without coupons, in denominations of $1,000 and integral multiples of $1,000.

  • Restricted Definitive Dollar Notes shall be exchanged only for beneficial interests in Restricted Global Dollar Notes pursuant to this clause (d).

  • Global Securities means a Security or Securities, as the case may be, in the form established pursuant to Section 2.2 evidencing all or part of a Series of Securities, issued to the Depositary for such Series or its nominee, and registered in the name of such Depositary or nominee.

  • Euro Notes means the Initial Euro Notes and any Additional Euro Notes.

  • Regulation S Global Securities Appendix A

  • Global Bond means a 2034 Bond in registered global form without interest coupons.

  • Regulation S Permanent Global Security means a permanent global Security in the form of Exhibit A-1 hereto bearing the Global Security Legend and the Private Placement Legend and deposited with or on behalf of and registered in the name of the Depositary or its nominee, issued in a denomination equal to the outstanding principal amount of the Regulation S Temporary Global Security upon expiration of the Restricted Period.

  • Regulation S Global Notes means, collectively, the Temporary Regulation S Global Notes and the Permanent Regulation S Global Notes.

  • Regulation S Global Security The meaning specified in Section 3.01(c).

  • U.S. Global Note means a Global Note that bears the Restricted Legend representing Notes issued and sold pursuant to Rule 144A.

  • Global Notes Legend means the legend set forth under that caption in the applicable Exhibit to this Indenture.

  • Global Securities Legend means the legend set forth under that caption in Exhibit A to this Indenture.

  • Global Security means a Security issued to evidence all or a part of any series of Securities which is executed by the Company and authenticated and delivered by the Trustee to the Depositary or pursuant to the Depositary’s instruction, all in accordance with the Indenture, which shall be registered in the name of the Depositary or its nominee.

  • Global Debenture shall have the meaning set forth in Section 2.4(a).

  • Global Notes means, individually and collectively, each of the Restricted Global Notes and the Unrestricted Global Notes, substantially in the form of Exhibit A hereto, issued in accordance with Section 2.01, 2.06(b) or 2.06(d) hereof.

  • IAI Global Note means a Global Note substantially in the form of Exhibit A1 hereto bearing the Global Note Legend and the Private Placement Legend and deposited with or on behalf of and registered in the name of the Depositary or its nominee that will be issued in a denomination equal to the outstanding principal amount of the Notes sold to Institutional Accredited Investors.

  • Registered Global Security means a Security evidencing all or a part of a series of Registered Securities, issued to the Depositary for such series in accordance with Section 2.04, and bearing the legend prescribed in Section 2.04.

  • Global Note Legend means the legend set forth in Section 2.06(g)(ii), which is required to be placed on all Global Notes issued under this Indenture.

  • 144A Global Security means a permanent Global Security in the form of the Security attached hereto as Exhibit A-1, and that is deposited with and registered in the name of the Depositary, representing Securities sold in reliance on Rule 144A under the Securities Act.

  • Regulation S Temporary Global Note Legend means the legend set forth in Section 2.06(g)(iii) hereof.

  • Restricted Global Notes means 144A Global Notes, IAI Global Notes and Regulation S Global Notes.

  • Registered Global Note means a Regulation S Global Note or a Rule 144A Global Note;

  • Floating Rate Notes means the Class A-2b Notes.

  • Regulation S Temporary Global Security with respect to any series of Securities, means one or more temporary Global Securities, bearing the Private Placement Legend and the Regulation S Temporary Global Security Legend, issued in an aggregate amount of denominations equal in total to the outstanding principal amount of the Securities of such series initially sold, if required by Rule 903 of Regulation S.

  • Global Note shall have the meaning specified in Section 2.05(b).
