Governmental Price Reports definition

Governmental Price Reports means (1) any and all data that may be reported relating to the Products under the Medicaid drug rebate program, including without limitation the Average Manufacturer Price (as defined at 42 U.S.C. § 1396r-8(k)(1)) (“AMP”) and the Best Price (as defined at 42 U.S.C. § 1396r-8(c)(1)(C)) and (2) Non-FAMP and Average Sales Price (as defined by 42 U.S.C. § 1395w-3a), and any and all data that may be reported relating to the Products under state drug price reporting requirements. “PHS Price Reports” means any and all data that may be used to calculate, submit, or otherwise offer a PHS price relating to the Products under a Pharmaceutical Pricing Agreement under section 340B of the Public Health Service Act, 42 U.S.C. 256b.
Governmental Price Reports means (1) any and all data required to be reported relating to the Product under the Medicaid drug rebate program, including without limitation the Average Manufacturer Price (as defined at 42 U.S.C. § 1396r-8(k)(1)) (“AMP”) and the Best Price (as defined at 42 U.S.C. § 1396r-8(c)(1)(C)) and (2) any and all data required to be reported relating to the Product(s) under state drug price reporting requirements. “PHS Price Reports” means any and all data required to be reported relating to the Product under a Pharmaceutical Pricing Agreement under section 340B of the Public Health Service (“PHS”) Act, 42 U.S.C. 256b.

Examples of Governmental Price Reports in a sentence

  • Unless otherwise agreed, beginning with the reporting period in which the Transition Date occurs, Purchasers shall be responsible for submitting all Governmental Price Reports for Product(s) bearing an NDC of Sellers.

  • Unless otherwise agreed, beginning with the reporting period in which the Closing Date occurs, Purchaser shall be responsible for submitting all Governmental Price Reports, with the exception of ASP, for Product(s) bearing an NDC of Seller.

  • For pricing and sales data that are required in order to submit Governmental Price Reports, but that are not themselves provided to the CMS and/or the Department of Veterans Affairs, Seller will furnish that data in a format prescribed by Purchaser.

  • Without limiting the foregoing, Sellers shall provide to Purchasers, within ten (10) days after the end of each reporting period up to a year after the Transition Date, all data or other information to the Governmental Price Reports for such Product(s) reasonably requested by Purchasers for use by Purchasers in completing such Governmental Price Reports.

  • All pricing data furnished by Sellers pursuant to this subsection shall be provided in the same format that such data are provided by Sellers to CMS and/or the Department of Veteran Affairs VA in connection with Sellers’ own Governmental Price Reports, or in a format otherwise prescribed by Sellers.

More Definitions of Governmental Price Reports

Governmental Price Reports means (a) any and all data required to be reported relating to the Product(s) under the Medicaid drug rebate program, including without limitation the AMP and the Best Price; (b) any and all data required to be reported relating to the Product(s) under state drug price reporting requirements; (c) any and all data required to be reported relating to the Product(s) under Medicare Part B, including without limitation the ASP; (d) Federal Ceiling Prices required to be reported relating to the Product(s) under 38 U.S.C. § 8126; (e) any and all data required to be reported relating to the Products under a Tricare retail rebate agreement or otherwise under 10 U.S.C. § 1074f(g); (f) any and all data required to be reported relating to the Products under a Pharmaceutical Pricing Agreement under Section 340B of the PHS Act, 42 U.S.C. § 256b; (g) any and all data required to be reported relating to the Medicare Coverage Gap Discount Program for purposes of Sections 1860D-14A and 1860D-43 of the Social Security Act, as set forth in the Patient Protection and Affordable Care Act of 2010 (“PPACA”), Pub. L. 111-148, and the Health Care and Education Reconciliation Act of 2010, (“HCERA”) Pub. L. 111-152; and (h) any and all data required to be reported relating to the Products under the Pharmaceutical Manufacturer Industry Fee Program pursuant to Section 9008 of the PPACA, Public Law 111-148 (124 Stat. 119 (2010)), as amended by Section 1404 of the HCERA, Public Law 111-152 (124 Stat. 1029 (2010)).

  • Governmental Real Property Disclosure Requirements means any Requirement of Law of any Governmental Authority requiring notification of the buyer, lessee, mortgagee, assignee or other transferee of any Real Property, facility, establishment or business, or notification, registration or filing to or with any Governmental Authority, in connection with the sale, lease, mortgage, assignment or other transfer (including any transfer of control) of any Real Property, facility, establishment or business, of the actual or threatened presence or Release in or into the Environment, or the use, disposal or handling of Hazardous Material on, at, under or near the Real Property, facility, establishment or business to be sold, leased, mortgaged, assigned or transferred.

  • Governmental Agency(ies) means, individually or collectively, any federal, state, county or local governmental department, commission, board, regulatory authority or agency (including, without limitation, each applicable Regulatory Agency) with jurisdiction over the Company or a Subsidiary.
