Guarantee Account definition

Guarantee Account has the meaning set out in Article 3.3 (ii) of this Pledge Agreement.
Guarantee Account means the bookkeeping account maintained for a Participant reflecting the notional value of the guaranteed benefit determined under Paragraph 4.3 hereof. Effective on and after April 1, 2001 no further contributions shall be made to the Guarantee Account of any Participant.
Guarantee Account designates a non-remunerated account, funded by deductions from the financings of the Receivables transferred, aimed at guaranteeing the reimbursement of those amounts which may become owed by the Client to Eurofactor. The amounts retained are kept as a cash pledge, held by Eurofactor.

More Definitions of Guarantee Account

Guarantee Account means the account of that name in the name of the Trustee maintained by the Account Bank. The Guarantee Account will receive all the amounts payable by theHellenic Republic in respect of the Guarantee in accordance with Condition 3 (Priority of Payments and Available Funds).
Guarantee Account means the account held by the Guarantor, at the Guarantor for the purposes of making payment of a Disbursement under and in terms of the Guarantee;
Guarantee Account in sixty (60) equal monthly payments beginning in the seventh (7th) month after the Effective Date of this Agreement and continuing for sixty (60) months thereafter (the "Monthly Facility Availability Payments"). Upon the execution of this Agreement, Principia shall, by the execution of a pledge agreement in substantially the same form as the Pledge Agreement attached hereto as EXHIBIT D, pledge to Bandwidth shares of Principia stock (the "Pledged Shares") of the type that has been issued by Principia in the most recent corporate finance transaction in such number that the shares will have an aggregate market value of at least *** Dollars ($***), based on the value stated in the then-most recent corporate finance transaction. Simultaneously with the signing of the Pledge Agreement, Principia shall also execute a Secretary's Certificate in substantially the same form as attached hereto as EXHIBIT E.
