GUC Trust Seed Funding Amount definition

GUC Trust Seed Funding Amount means the $600,000 that was loaned to the GUC Trust by the Debtors from the Wind-Down Amount on or about July 31, 2015 in accordance with the terms of the Committee Settlement.
GUC Trust Seed Funding Amount means $1,000,000 that, if the GUC Trust is created on the Effective Date, shall be loaned to the GUC Trust by the Settlement Facility on the Effective Date, which amount shall not bear interest and shall only be repaid from the proceeds, if any, available to the GUC Trust from liquidation of the GUC Trust Assets after payment of the amounts due with respect to Class A Beneficial Interests and GUC Trust expenses (other than the GUC Trust Seed Funding Amount).
GUC Trust Seed Funding Amount has the meaning ascribed to it in the Settlement.

Examples of GUC Trust Seed Funding Amount in a sentence

  • The GUC Trust shall repay the GUC Trust Seed Funding Amount without interest to the Debtors or their successors or assigns from either the GUC Trust Seed Funding Amount not used to pay costs and expenses of administering the GUC Trust and/or the Net Proceeds, if any, of the liquidation of the Distributable Assets (other than the GUC Cash Payment which shall be utilized exclusively for the payment of Distributions to Beneficiaries).

  • Except for the obligation of the GUC Trust to repay the GUC Trust Seed Funding Amount as set forth this Section 2.8, the GUC Trust Seed Funding Amount shall be free and clear of all Encumbrances of the Debtors or any other Entity.

  • The GUC Trustee shall not make any Distributions to Beneficiaries unless and until the GUC Trust Seed Funding Amount is repaid to the Debtors in accordance with Section 2.8 hereof, provided, however, the GUC Trustee may distribute the GUC Cash Payment to the Beneficiaries prior to the repayment of the GUC Trust Seed Funding Amount.

  • Until such time as the GUC Trust Seed Funding Amount is repaid all Distributions to be made by the GUC Trustee to or for the benefit of any Beneficiary shall be made only from the Distributable Assets.

  • On the Effective Date, the Debtors shall advance the GUC Trust Seed Funding Amount to the GUC Trust as a loan.

  • Pre-Funding Amount With respect to any date, the amount on deposit in the Pre-Funding Account.

  • Class A Noteholders’ Interest Distribution Amount means, for any distribution date, the sum of: • the amount of interest accrued at the class A note interest rates for the related accrual period on the aggregate outstanding principal balances of all classes of class A notes on the immediately preceding distribution date, after giving effect to all principal distributions to class A noteholders on that preceding distribution date; and • the Class A Note Interest Shortfall for that distribution date.

  • Class B Noteholders’ Interest Distribution Amount means, for any distribution date, the sum of: • the amount of interest accrued at the class B note rate for the related accrual period on the outstanding principal balance of the class B notes on the immediately preceding distribution date, after giving effect to all principal distributions to class B noteholders on that preceding distribution date, and • the Class B Note Interest Shortfall for that distribution date.

  • Principal Funding Investment Proceeds means, with respect to each Transfer Date, the investment earnings on funds in the Principal Funding Account (net of investment expenses and losses) for the period from and including the immediately preceding Transfer Date to but excluding such Transfer Date.

  • Principal Funding Account shall have the meaning specified in subsection 4.03(a)(i).

  • Class A Noteholders’ Distribution Amount means, for any distribution date, the sum of the Class A Noteholders’ Interest Distribution Amount and the Class A Noteholders’ Principal Distribution Amount for that distribution date.

  • Principal Funding Investment Shortfall means, with respect to each Transfer Date relating to the Controlled Accumulation Period, the amount, if any, by which the Principal Funding Investment Proceeds for such Transfer Date are less than the Covered Amount determined as of such Transfer Date.
