Unless otherwise expressly stated in this Agreement, the risk of accidental loss or destruction and accidental deterioration of the Land shall pass from the Seller to the Purchaser on the Handover Date.
The Replacement Administering Authority will assume the outstanding obligation of the Outgoing Administering Authority in respect of the Exiting Employees' accrued holiday entitlements and accrued holiday remuneration at the Handover Date and in consideration the Outgoing Administering Authority will pay the full amount necessary to enable the Replacement Administering Authority to meet the cost of providing such holiday entitlements and remuneration as at the Handover Date.
Administering Authority shall jointly report to the Board and the SMG (in a form to be agreed) before the Handover Date.
