Hazardous Products definition

Hazardous Products means any product classified or described as dangerous or hazardous by applicable laws, legislation, rules or regulation or by international agreement codes including any Product that may present or be likely to present a hazard to other products or property or to any person. Intellectual Property Rights (IPR). Shall mean the intellectual property rights of CMS relating to the Products, including trademarks, service marks, trade names, logos and symbols, copyrights, patents and designs that are licensed by CMS to DKSH in connection with this Agreement. Landed Cost. Shall mean the Supply Price paid by DKSH to CMS for the Products plus import duties charged by competent authorities plus other reasonable and necessary direct costs with respect to storage and transportation which in together shall not exceed three percent (3%) of the Supply Price.cost incurred by DKSH for the transport to the destination facility in and import into the Territory, including but not limited to freight, insurance, customs, storage, other import duties and taxes, cost of customs clearances, licenses and other official authorizations required or necessary in the Territory. Local Sub-Contractors. Shall mean and include the sub-distributors, agents, importers, freight forwarders, transporters, shipping agents or other third party service providers appointed by DKSH. Loss. Shall have the meaning as set forth under the Article 9.2.
Hazardous Products. Seller shall furnish all safety data sheet (SDS) data and provide the necessary protection/precautionary measures according to federal and state laws and regulations. Seller must send SDS sheets to any person or department that is listed on this purchase order’s "ship to" address.
