HBV Program definition

HBV Program means all Research activities conducted solely or jointly by the Parties during the HBV Collaboration Term pursuant to the HBV Research Plan.
HBV Program means any Program conducted by or on behalf of the Company, its Affiliates, or a Milestone Obligor as of and following the Closing Date where the Target is with respect to HBV.
HBV Program means the collaboration between the Parties regarding the Development of RNAi Products Directed to HBV, including ALN-HBV and ALN-HBV02.

  • The objective of the HBV Program, as provided in the HBV Research Plan, shall be to utilize the Hookipa Technologies to Research Lymphocytic Choriomeningitis Virus- and Pichinde Virus-based vectors suitable for the Development, Manufacture, and Commercialization by Gilead, its Affiliates, or its sublicensees as HBV Licensed Products for the treatment, cure, diagnosis, or prevention of HBV.

  • Subject to Section 3(c) below, GSK shall be responsible, at its cost, for all further Manufacturing in relation to the HBV Program.

  • Except as expressly set forth in Section 5.6.2 of the Agreement (as Section 5.6.2 of the Agreement relates to Compounds that are not the HBV Lead Compound or the HBV LICA DC), each milestone set forth in Table 3B above will be paid only once for the HBV Program upon the first achievement of the Milestone Event, regardless of the number of Licensed Compounds, Follow-On Compounds or Licensed Products resulting under the HBV Program.

  • The objective of the HBV Program, as provided in the HBV Research Plan established under the Original Collaboration Agreement, was and is to utilize the Hookipa Technologies to Research Lymphocytic Choriomeningitis Virus- and Pichinde Virus-based vectors suitable for the Development, Manufacture, and Commercialization by Gilead, its Affiliates, or its sublicensees as HBV Licensed Products for the treatment, cure, diagnosis, or prevention of HBV.

  • Upon Alnylam HBV Program Completion, subject to the exercise by Alnylam of its Profit-Sharing Option pursuant to Section 4.2 with respect to an HBV Licensed Product and Alnylam’s responsibilities for HBV Licensed Product Manufacturing at Vir’s expense pursuant to Article V, Vir shall assume all responsibility for the further Development, Manufacture and Commercialization of HBV Licensed Products.

  • NOTWITHSTANDING THE FACT THAT GSK HAS NOT EXERCISED ITS OPTION FOR THE HBV PROGRAM, GSK WILL PROVIDE IONIS THE COOPERATION AND INFORMATION DESCRIBED IN SECTION 4.4.1 OF THE AGREEMENT AS IT RELATES TO ACTIVITIES UNDERTAKEN BY GSK IN RELATION TO THE HBV LEAD Compound prior to the date of exercise of its Option to the HBV Program.

  • AML Program has the meaning ascribed thereto in Schedule 2.1(F)(8) hereof.

  • CRAF Program means the Civil Reserve Air Fleet Program authorized under 10 U.S.C. Section 9511 et seq. or any similar or substitute program under the laws of the United States.

  • Marketing program means a program established by order of the director pursuant to this act prescribing rules and regulations governing the marketing for processing, distributing, selling, or handling an agricultural commodity produced in this state or agricultural commodity input during a specified period and

  • Education program means any program that is principally engaged in the provision of education, including, but not limited to, early childhood education, elementary and secondary education, postsecondary education, special education, job training, career and technical education, and adult education, and any program that is administered by an educational agency or institution.

  • Development Program means the implementation of the development plan.

  • Educational program means a program for educating and preparing physician assistants which is approved by the board.

  • Education program or activity means locations, events, or circumstances for which the school district exercises substantial control over both the respondent and the context in which the sexual harassment occurs and includes school district education programs or activities that occur on or off of school district property.

  • Covered Program means an education program or activity over which the College exercised substantial control over both the Respondent and the context in which the sexual harassment occurred.

  • Collaborative pharmacy practice agreement means a written and signed

  • Commercialization or “Commercialize” means activities directed to marketing, promoting, research and development as required, manufacturing for sale, offering for sale, distributing, importing or selling a product, including sub-licensing or sub-contracting of these activities.

  • Child day program means a regularly operating service arrangement for children where, during the absence of a parent or guardian, a person or organization has agreed to assume responsibility for the supervision, protection, and well-being of a child under the age of 13 for less than a 24-hour period.

  • Licensed Programs means, collectively, NeoSystems’ and any Third Party Vendor computer software programs to be provided to Client for use on certain hardware on Client’s premises or a third party’s premises as set forth in an Agreement. The Licensed Programs shall include any fixes, work-arounds, updates, revisions, modifications, enhancements and any derivative works that are provided to Client by NeoSystems under an Agreement.

  • Joint Commercialization Committee or “JCC” has the meaning set forth in Section 3.4 (Joint Commercialization Committee).
